22014307 AGREEMENT Total Pages: 29 <br />Filed and Recorded: 03/23/2022 02:20:18 PM <br />MEMORANDUM OF DEVELOPMENT AGREEMENT <br />THE STATE OF TEXAS § <br />§ KNOW EVERYONE BY THESE PRESENTS: <br />COUNTY OF HAYS § <br />A Development Agreement (the "Agreement") was made and entered into as of <br />December 7, 2021, by and among the CITY OF SAN MARCOS, TEXAS (the "C"), a <br />home -rule municipality, HK BAUGH RANCH, LLC, a Texas limited liability company <br />("HK Baugh Ranch"), HK RILEY'S POINTE, LLC, a Texas limited liability company ("HK <br />Riley's Pointe"), BENCHMARK ACQUISITIONS, LLC, a Texas limited liability company <br />("Benchmark", collectively with HK Baugh Ranch and HK Riley's Pointe, the "Owners" <br />and each an "Owner"), and HK REAL ESTATE DEVELOPMENT, LLC, a Texas limited <br />liability company ("Developer"). <br />Owners own approximately 1,046.286 acres of land more particularly described in <br />Exhibits A-1 (" River Bend") and A-2 ("Riley"s Pointe", collectively with River Bend, the <br />"Property") attached hereto. The purpose of the Agreement is to define the City's <br />jurisdiction and regulatory authority over the Property, to establish certain restrictions <br />and commitments imposed and made in connection with the Property, to provide <br />increased certainty to Owners and Developer concerning the development approval <br />process and development requirements, and to identify land uses and other aspects for <br />the development of the Property. <br />A copy of the Agreement, and all exhibits, and supplements or amendments <br />thereto, may be obtained from the City Clerk of the City, upon payment of duplicating <br />costs. <br />EXECUTED as of 16 2022. <br />[Signature Pages Follow.] <br />
