EXHIBIT B <br />Form of Joinder Agreement <br />JOINDER AGREEMENT <br />THIS JOINDER AGREEMENT (this "Joinder Agreement"), effective as of <br />,20_, is executed by HAYS COUNTY MUNICIPAL UTILITY DISTRICT NO. <br />8 (the "District"), in connection with that certain Consent Agreement (the "Consent Agreement") <br />effective as of , 2022, entered into by and between the CITY OF SAN MARCOS, <br />TEXAS, a home -rule municipality (the "City"), and HK BAUGH RANCH, LLC, a Texas limited <br />liability company ("HK Baugh Ranch" or the "Owner"). Capitalized terms used in this Joinder <br />Agreement but not otherwise defined herein shall have the definitions provided in the Consent <br />Agreement. <br />In accordance with the Consent Agreement, a copy of which is attached hereto and <br />incorporated herein as Exhibit A, the District executes this Joinder Agreement to become a Party <br />to the Consent Agreement. Accordingly, the District hereby agrees as follows with the City and <br />Owner: <br />1. The District acknowledges and confirms that it has received a copy of the Consent <br />Agreement and the exhibits and schedules thereto. <br />The District acknowledges, agrees, and confirms that, by its execution of this Joinder <br />Agreement, the District shall automatically be deemed a Party to the Consent Agreement, <br />and shall have all of the rights and obligations of the District with regard to the Property <br />within the District as if it had originally executed the Consent Agreement. The District <br />hereby ratifies, as of the date hereof, and agrees to be bound by all of the terms, provisions, <br />and conditions contained in the Consent Agreement applicable to it to the same effect as if <br />it were an original Party thereto. <br />This Joinder Agreement shall be governed by and construed in accordance with the laws <br />of the State of Texas, and exclusive venue shall lie in Hays County, Texas. <br />[SIGNATURE PAGE FOLLOWS] <br />960913_4 <br />
