(`\ Ps al a r <br />ALAMO REGIONAL SECURITY OPERATIONS CENTER <br />PARTICIPATION AGREEMENT <br />This Alamo Regional Security operations Center Participation Agreement (this "Agreement") is <br />entered into by and between the City of San Antonio, a Texas Municipal Corporation (the <br />"City"), CPS Energy, a Texas electric and gas utility owned by City ("CPS"), and <br />("Participant"), each a "Party" and <br />collectively, the "Parties". <br />The Alamo Regional Security operations Center (the "ARSOC") was created with a vision for a <br />centralized security operations facility to provide real-time, collaborative, cyber -security training <br />and information sharing among publiclgovernmental entities in the San Antonio Area. As <br />regional public/governmental organizations and in support of this vision, the Parties wish to <br />collaborate in skills development and training exercises at the ARSOC in furtherance of their <br />commitment to protecting San Antonio's and the surrounding area's infrastructure and critical <br />systems. Therefore, in consideration of the mutual covenants and promises established herein, <br />the Parties hereto agree as follows: <br />I. Term. This Agreement begins on and ends on <br />unless terminated earlier upon written notice from City and CPS (the "Term"). <br />2. Limited Access. During the Term of this Agreement, Participant may temporarily access the <br />ARSOC facility located at 638 Davy Crockett, Building 940, San Antonio, Texas 78226 (the <br />"Facility"), to participate in specified meetings, trainings, and exercises offered or supported by <br />the City and CPS. Participant's access is limited to the common, general, and nonexclusive areas <br />of the Facility, which include the following and may be referred to collectively as the "Common <br />Areas". <br />Training rooms, when scheduled and approved; <br />Conference rooms, when scheduled and approved; <br />Observation deck; <br />Billeting room; <br />Break room and kitchen; <br />Bathrooms; <br />Gym; <br />IDFIMDF closet; <br />Radio maintenance and issuing center; and <br />Related areas that are intended and designated <br />common, general, and nonexclusive use of all <br />ARSOC. <br />by City from time to time for the <br />subtenants and participants of the <br />The City has exclusive control over and the right to manage the Common Areas. <br />Pagel of 5 <br />
