EMPLOYMENT AGREEMENT BETWEEN <br /> THE CITY OF SAN MARCOS, TEXAS AND STEPHANIE [. REYES FOR <br /> THE POSITION OF CITY MANAGER <br /> THIS AGREEMENT iamade and entered into this Sj� day of and <br /> between the City of San ManCoo. T8x8a, a municipal oorporat/on, hereinafter called ''Cdv." and <br /> Stephanie L. Reyes, hereinafter called "EOnp|uya8." both of whom understand as follows: <br /> VVHEREAQ. City desires to employ the Sen/imaG of Employee as City Manager, as provided by <br /> Sec. 4.01ofthe City Charter; and <br /> VVHEREAG, it iGthe desire ofthe City's governing body. hereinafter called "City Council," to <br /> provide for the compensation and other terms and conditions of Employee's employment; and <br /> WHEREAS, Employee desires to accept employment by the City on the terms indicated; <br /> NOW THEREFORE, in consideration of the mutual covenants herein contained, the parties agree <br /> as follows: <br /> Section 1: Duties <br /> The City hereby agrees to employ Employee, and Employee hereby accepts employment, as City <br /> Manager, toperform the functions and duties specified insaid Sec. 4.O1 ofthe City Charter and <br /> applicable provisions of the City Code and to perform other legally permissible and proper duties <br /> and functions oothe City Council shall from tiOne-to-tiOneassign. The City and Employee mutually <br /> agree that the Employee shall perform her duties in compliance with the International City/County <br /> Management Association /|CK8AJCode ofEthics. <br /> Section 3: Residency <br /> The employee ah8U establish her principal physical residence in the city, no later than SO days <br /> following appointment, and shall have her principal physical residence in the city continuously <br /> thereafter while holding VMiC8. <br /> Section 3: Term <br /> This Agreement commences on February 21, 2023 and shall continue in effect until terminated <br /> by City or Employee /n accordance with Section 13. Nothing contained /n this Agreement ah8|( <br /> change or alter the fact that Employee serves at the will of the City Council. <br /> Section 4: Best Efforts <br /> Employee agrees to devote her best efforts, energies, and skill to the discharge of the duties and <br /> responsibilities attributable to her pOSitioD, and to this eDd, she will devote her full time and <br /> attention exclusively tOthe business and affairs nfthe City. Employee agrees that she may not <br /> derive any p8[SOna/ advantage or gain, either directly or indirectly, with respect to any business <br /> transaction in which the City aDgegea. and that she will promptly dioC|Oae in writing to the City <br /> Council all facts that are material to any such potential profit or gain. <br /> Section 5: Salary <br /> All compensation shall be payable in installments at the same time as other employees of the City <br /> unless otherwise noted. The City agrees to pay Employee for her services rendered pursuant <br /> hereto: <br /> A. An initial boaa 88/3ry of$278,699.20 per year, payable in installments at the oenle time that <br /> the other employees of the City are paid. <br /> B.
