Upon an early termination of this Agreement, the Bank agrees to promptly transfer and <br /> deliver the Security Register (or a copy thereof), together with other pertinent books and records <br /> relating to the Securities, to the successor Paying Agent/Registrar designated and appointed by <br /> the Issuer. <br /> The provisions of Section 1.02, 5.02, 5.03 and 5.06 of this Agreement shall survive and <br /> remain in full force and effect following the termination of this Agreement. <br /> Section 6.11. Governing Law. <br /> This Agreement shall be construed in accordance with and governed by the laws of the <br /> State of Texas. <br /> Section 6.12. Representations. <br /> (a) The Paying Agent hereby verifies, for purposes of Section 2271 of the Texas <br /> Government Code, that at the time of execution and delivery of this Agreement, neither the <br /> Paying Agent, nor any parent company, wholly- or majority-owned subsidiaries or affiliates of <br /> the same, if any, boycotts Israel or will boycott Israel during the term of this Agreement. The <br /> foregoing verification is made solely to comply with Section 2271.002, Texas Government <br /> Code, and to the extent such Section does not contravene applicable Federal law. As used in the <br /> foregoing verification, "boycotts Israel" and "boycott Israel" means refusing to deal with, <br /> terminating business activities with, or otherwise taking any action that is intended to penalize, <br /> inflict economic harm on, or limit commercial relations specifically with Israel, or with a person <br /> or entity doing business in Israel or in an Israeli-controlled territory, but does not include an <br /> action made for ordinary business purposes. The Paying Agent understands "affiliate"to mean an <br /> entity that controls, is controlled by, or is under common control with the Paying Agent within <br /> the meaning of SEC Rule 405, 17.
