(ii) There is no amendment, or to the knowledge of the Authority, <br /> proposed amendment to the Constitution of the State or any State law or any <br /> administrative interpretation of the Constitution of the State or any State law, or <br /> any legislation that has passed either house of the legislature of the State, or any <br /> judicial decision interpreting any of the foregoing, the effect of which will <br /> materially adversely affect the issuance of any of the Note, or the Authority's <br /> obligations under this Agreement or the other Related Documents to which it is a <br /> party, or the Authority's ability to repay when due its obligations under the Note. <br /> (f) Financial Statements. The audited financial statements of the Authority for <br /> the fiscal year ended September 30, 2022, heretofore furnished to the Purchaser, fairly <br /> present the financial condition of the Authority in all material respects as of such dates and <br /> the results of its operations for the periods then ended in conformity with GAAP. Since <br /> September 30, 2022, there has been no change in the financial condition or operations of <br /> the Authority that could reasonably be expected to result in a material adverse change in <br /> the operations, business,properties, liabilities or condition of the Authority. <br /> (g) No Default. No Event of Default or any event that,with the giving of notice <br /> or the lapse of time or both, would constitute an Event of Default has occurred and is <br /> continuing. <br /> (h) Usury. The interest rate for the Note does not violate any applicable State <br /> law regarding permissible maximum rates of interest. <br /> (i) Security. The Note will be secured by a pledge of the proceeds of the Future <br /> Bonds as set forth in Section 7 of the Authority Resolution. <br /> 0) Anti-Corruption Laws and Anti-Money Laundering Laws. The Authority <br /> has instituted, maintains and complies with policies, procedures and controls reasonably <br /> designed to assure compliance with Anti-Money Laundering Laws and Anti-Corruption <br /> Laws. To the best of the Authority's knowledge, after due care and inquiry,the Authority <br /> is not under investigation for an alleged violation of Anti-Money Laundering Laws or Anti- <br /> Corruption Laws by a Governmental Authority that enforces such laws. <br /> (k) Sanctions. (i) The Authority is not a Sanctioned Target, (ii) the Authority <br /> is not owned or controlled by, or is acting or purporting to act for or on behalf of, directly <br /> or indirectly,a Sanctioned Target,(iii)the Authority has instituted,maintains and complies <br /> with policies, procedures and controls reasonably designed to assure compliance with <br /> Sanctions, and (iv) to the best of Authority's knowledge, after due care and inquiry, the <br /> Authority is not under investigation for an alleged violation of Sanction(s) by a <br /> Governmental Authority that enforces Sanctions. The Authority shall notify the Purchaser <br /> in writing not more than one Business Day after first becoming aware of any breach of this <br /> Section. <br /> 10 <br />
