(b) Interest Earnings. Interest earnings derived from the investment of proceeds from the <br /> sale of the Certificates shall be used along with the Certificate proceeds for the purpose for <br /> which the Certificates are issued as set forth in Section 1 hereof or to pay principal or interest <br /> payments on the Certificates; provided that after completion of such purpose, if any of such <br /> interest earnings remain on hand, such interest earnings shall be deposited in the Interest and <br /> Sinking Fund. It is further provided, however,that any interest earnings on bond proceeds which <br /> are required to be rebated to the United States of America pursuant to Section 11 hereof in order <br /> to prevent the Certificates from being arbitrage bonds shall be so rebated and not considered as <br /> interest earnings for the purposes of this Section. <br /> Section 15. APPROVAL OF OFFICIAL STATEMENT. The City hereby approves <br /> the form and content of the Official Statement relating to the Certificates and any addenda, <br /> supplement or amendment thereto, and approves the distribution of such Official Statement in <br /> the reoffering of the Certificates by the Purchaser in final form, with such changes therein or <br /> additions thereto as the officer executing the same may deem advisable, such determination to be <br /> conclusively evidenced by his execution thereof. The distribution and use of the Preliminary <br /> Official Statement dated August 1, 2023, prior to the date hereof is confirmed, approved and <br /> ratified. The City Council hereby finds and detennines that the Preliminary Official Statement <br /> and final Official Statement were "deemed final' (as that term is defined in 17 CFR Section <br /> 240.15c(2)-12) as of their respective dates. <br /> Section 16. APPROVAL OF PAYING AGENT/REGISTRAR AGREEMENT. <br /> Attached hereto as Exhibit "B" is a substantially final form of the Paying Agent/Registrar <br /> Agreement with an attached Blanket Issuer Letter of Representation. The Mayor of the City <br /> Council of the City is hereby authorized to amend, complete or modify such agreement as <br /> necessary and is further authorized to execute such agreement and the City Clerk is hereby <br /> authorized to attest such agreement. <br /> Section 17. CONTINUING DISCLOSURE UNDERTAKING. (a) Annual Reports. <br /> The City shall provide annually to the MSRB, in an electronic format as prescribed by the <br /> MSRB, (i)within six months after the end of each fiscal year of the City ending in or after 2023, <br /> financial information and operating data, which information and data may be unaudited, with <br /> respect to the City of the general type included in the final Official Statement authorized by <br /> Section 15 of this Ordinance, being the information described in Exhibit "C" hereto and (ii) if not <br /> provided as part of such financial information and operating data, audited financial statements of <br /> the City, within twelve months after the end of each fiscal year of the City ending in or after <br /> 2023. Any financial statements to be so provided shall be (1) prepared in accordance with the <br /> accounting principles described in Exhibit "C" hereto, or such other accounting principles as the <br /> City may be required to employ from time to time pursuant to state law or regulation, and (2) <br /> audited, if the City commissions an audit of such statements and the audit is completed within <br /> the period during which they must be provided. If the audit of such financial statements is not <br /> complete within such period, then the City shall provide unaudited financial statements within <br /> such period, and audited financial statements for the applicable fiscal year to the MSRB, when <br /> and if the audit report on such statements become available. <br /> SAN MARCOS\CIRCO2024: Ordinance <br />
