SUCCESSORS AND ASSIGNS <br /> Sub-Recipient binds itself, its successors, assigns, executors and administrators in respect <br /> to all covenants of this Agreement. Sub-Recipient shall not sign, sublet or transfer their interest in <br /> this Agreement without the written consent of City. <br /> XX111. LEGAL CONSTRUCTION <br /> If one or more of the provisions contained in this Agreement shall for any reason be held <br /> invalid, illegal,or unenforceable in any respect, such invalidity, illegality,or unenforceability shall <br /> not affect any other provision thereof and this Agreement shall be construed as if such invalid, <br /> illegal or unenforceable provision had never been contained herein. All Exhibits referenced herein <br /> are incorporated herein for all purposes. This Agreement may be executed in one or more <br /> counterparts, each of which shall be deemed an original and all of which together shall constitute <br /> one and the same Agreement. Facsimile signatures shall be deemed an original signature for all <br /> purposes. For purposes of this paragraph, the phrase "facsimile signature" includes without <br /> limitation, an image of an original signature made by an electronic scanner. <br /> I <br /> XXIV. AWARD SUMMARY AND RECITALS <br /> The Award Summary and the Recitals as noted in this Agreement are true and correct and <br /> are hereby incorporated into this Agreement and are made a part of this Agreement for all purposes. <br /> XXV.SIGNATORY WARRANTY <br /> The undersigned signatory for Sub-Recipient hereby represents that he or she is an officer <br /> of the organization for whom he or she has executed this Agreement and that he or she has full and <br /> complete authority to enter into this Agreement on behalf of the organization and bind the <br /> organizations to the terms and conditions herein stated. <br /> [SIGNATURES ON NEXT PAGE] <br /> Page 27 of 30 <br />
