41. Severability; Survivability <br /> If any provision of this Contract Agreement shall be deemed unenforceable or invalid, such provision shall not <br /> affect, impair or invalidate any other provision of this Contract Agreement. Any provision of this Contract <br /> Agreement held invalid or unenforceable only in part or degree will remain in full force and effect to the extent not <br /> held invalid or unenforceable. The terms of this Contract Agreement shall survive the closing of any loan or grant <br /> contemplated by this Contract Agreement. <br /> 42. Governing Law <br /> This Contract Agreement is being executed and delivered in the State of Texas and shall in all respects be <br /> governed, construed, applied and enforced in accordance with the laws of said State, irrespective of its conflict of <br /> laws provisions. <br /> 43. Section Headings and Subheadings <br /> The section headings and subheadings contained in this Contract Agreement are included for convenience only and <br /> shall not limit or otherwise affect the terms of this Contract Agreement. <br /> 44.
