or the service life of the Airport Property and that exceed $5,000 per repair or <br /> replacement needed. <br /> 1.0.13 Marketing Costs means any and all costs, expenses, charges or fees incurred by <br /> Operator in connection with or related to the marketing or promotion of the Airport <br /> in accordance with the Marketing Plan, including without limitation, costs of <br /> marketing personnel,advertising costs,travel costs related to Airport marketing and <br /> promotion, and costs incurred in coordinating Airport marketing and promotion <br /> efforts with the City. <br /> 1.0.14 Operating Costs means any and all costs, expenses, charges or fees actually <br /> incurred by Operator in the administration, management, operation and <br /> development of the Airport Operating Costs include, without limitation, costs to <br /> provide Upkeep at the Airport. <br /> 1.0.15 Operator means Texas Aviation Partners, LLC which is a Texas Limited Liability <br /> Corporation. <br /> 1.0.16 Operator's Representative or Airport Manager means the representative <br /> assigned by the Operator to be the primary point of contact with regard to the <br /> services provided under this Agreement. The Operator's representative will <br /> supervise the day-to-day activities at the Airport. <br /> 1.0.17 Real Estate Costs means any and all costs, expenses, charges or fees incurred by <br /> Operator in connection with the administration, management, enforcement, <br /> negotiation, or drafting of any ground leases, hangar leases, building leases, rental <br /> agreements, through-the fence-agreements, license agreements, or any other <br /> agreement between the City and any third party relating to an interest in the real <br /> property of the Airport, including, without limitation, costs of personnel to handle <br /> any such matters and the costs of billing and collecting any rents or other payments, <br /> but specifically excluding(i)any collection or enforcement costs relating to out-of- <br /> pocket costs incurred at the request of the City,which shall be paid by the City,and <br /> (ii) legal expenses incurred in connection with the above, provided such legal <br /> expenses have been approved by the City prior to Operator incurring such expenses. <br /> 1.0.18 Texas Department of Transportation or TxDOT the Texas Department of <br /> Transportation existing pursuant to the Texas Transportation Code as amended, or <br /> any successor agency. <br /> 1.0.19 Through-the-Fence Agreement means any agreement or license which allows <br /> access to or use of Airport Property or facilities by persons having an interest in <br /> property located adjacent to the Airport or adjacent to a connecting taxiway as <br /> authorized by the San Marcos Code. <br /> Page 4 of 34 <br />
