RESOLUTION NO. 2024-209R RESOLUTION APPROVING A RESOLUTION BY THE BOARD OF DIRECTORS OF THE ALLIANCE REGIONAL WATER AUTHORITY AUTHORIZING THE ISSUANCE OF CONTRACT REVENUE BONDS IN AN AGGREGATE PRINCIPAL AMOUNT NOT TO EXCEED $49,485,000.00 FOR THE CITY OF SAN MARCOS, TEXAS IN CONNECTION WITH THE REGIONAL WATER SUPPLY CONTRACT PROJECT; AND APPROVING OTHER RELATED MATTERS CITY OF SAN MARCOS § COUNTIES OF HAYS, CALDWELL AND GUADALUPE § STATE OF TEXAS § WHEREAS, the City of San Marcos, Texas (the "City") is a sponsor of the Alliance Regional Water Authority (the "Authority"); and WHEREAS, the City has approved and executed the Regional Water Supply Contract dated and effective January 9,2008 for the financing,construction and operation of the Authority's Regional Water Supply Project as amended by Amendment No. 1 Amendment No. 2 to the Contract(collectively,the "Contract"); and WHEREAS, the City has previously requested the Authority issue a separate series of contract revenue bonds for the City in an amount not to exceed $49,485,000 entitled "Alliance Regional Water Authority Contract Revenue Bonds (Regional Water Supply Contract Project — City of San Marcos, Texas), Series 2024C" (the "Bonds")to finance the City's contribution to the design, construction and equipment of the Phase 113 Improvements Project, including redeeming the Authority's $46,000,000 Bond Anticipation Note (Regional Water Supply Contract Project), Series 2023 issued in connection therewith (the "Bond Anticipation Note"), and the Phase 1 C/1 D Improvements Project of the Authority's Regional Water Supply Project pursuant to the Contract; and WHEREAS, pursuant to Section 3.1(c) of the Contract, prior to adoption of a bond resolution for the City by the Authority's Board of Directors,a substantially final copy of the Bond Resolution for the City and the sale and offering documents, if any, shall be presented to the City for review and approval; and WHEREAS, a substantially final copy of the Authority's Bond Resolution, as defined in the Contract, authorizing the Bonds for the City's share of the Phase 1B Improvements Project (including redeeming the Bond Anticipation Note) and the Phase 1C/1D Improvements Project of the Authority's Regional Water Supply Project has been presented to the City for review and approval; and WHEREAS, by this resolution (this "Resolution")the City Council of the City (the "City Council")further wishes to authorize each of the City's Mayor, City Clerk, City Manager and any Assistant City Manager (each an "Authorized Representative") to act as the City's Authorized Representative under the Bond Resolution and this Resolution, for purposes of completing and ARWA I San Marcos 2024C I Res Approving Res
