INTERLOCAL AGREEMENT BETWEEN <br /> THE CITY OF SAN MARCOS, TEXAS <br /> AND THE LOWER COLORADO RIVER AUTHORITY <br /> CONCERNING ELECTRICAL TRANSMISSION, <br /> CONTROL AND SUBSTATION FACILITIES <br /> THIS AGREEMENT is made and entered into by and between the City of San Marcos, <br /> Texas (hereinafter referred to as the"City") and the Lower Colorado River Authority(hereinafter <br /> referred to as "LCRA"), a conservation and reclamation district of the State of Texas,pursuant to <br /> the Texas Interlocal Cooperation Act (Chapter 791, Texas Government Code). LCRA and the <br /> City may be referred to individually as a Party, or collectively as the Parties. <br /> WHEREAS,the City owns and operates electric transformation and distribution lines and <br /> related facilities, and <br /> WHEREAS,LCRA is authorized by Chapter 8503 of the Texas Special District and Local <br /> Laws Code to distribute and sell electric energy; and <br /> WHEREAS, LCRA provides planning, repair, maintenance, testing, technical, training <br /> and inspection services for the transmission Facilities (as defined below) of LCRA Transmission <br /> Services Corporation, a non-profit corporation and instrumentality of LCRA; and <br /> WHEREAS, cooperation between the City and LCRA in planning for and in providing <br /> repair, maintenance and technical services (testing, inspection and personnel training) for <br /> transformation, distribution and substation facilities (collectively, "Facilities") would enable the <br /> City and LCRA to avoid redundant expenditures, reduce the costs to their respective customers, <br /> improve the responsiveness of each Party to outages and emergencies, and enhance the reliability <br /> of the respective Facilities; and <br /> WHEREAS, LCRA is willing to perform Services (as defined below) on the Facilities of <br /> the City upon the following terms and conditions; <br /> NOW,THEREFORE for and in consideration of the premises, and the mutual covenants <br /> and agreements set forth below, and other good and valuable consideration, the City and LCRA <br /> agree as follows: <br />
