<br /> "Signature Document" means the document executed by all Parties for this Grant
<br /> Agreement.
<br /> ,,Solicitation," "Funding Announcement" or"Request for Applications (RFA)" means
<br /> the document(including all exhibits, attachments, and published addenda), issued by the
<br /> System Agency under which applications for grant funds were requested, which is
<br /> incorporated by reference in the Grant Agreement for all purposes in its entirety.
<br /> "Solicitation Response" or"Application" means Grantee's full and complete Solicitation
<br /> response (including any attachments and addenda), which is incorporated by reference in
<br /> the Grant Agreement for all purposes in its entirety.
<br /> "State Fiscal Year" means the period beginning September 1 and ending August 31 each
<br /> year, which is the annual accounting period for the State of Texas.
<br /> "State of Texas Textravel" means the Texas Comptroller of Public Accounts' website
<br /> relative to travel reimbursements under this Contract, if any.
<br /> "Statement of Work"means the description of activities Grantee mustperform to complete
<br /> the Project, as specified in the Grant Agreement, and as may be amended.
<br /> "System Agency"means HHSC or DSHS,as applicable.
<br /> "Work Product" means any and all works, including work papers, notes, materials,
<br /> approaches, designs, specifications, systems, innovations, improvements, inventions,
<br /> software,programs, source code, documentation, training materials, audio or audiovisual
<br /> recordings, methodologies, concepts, studies, reports, whether finished or unfinished,
<br /> and whether or not included in the deliverables, that are developed,produced, generated
<br /> or provided by Grantee in connection with Grantee's performance of its duties under the
<br /> Grant Agreement or through use of any funding provided under this Grant Agreement.
<br /> "Texas Grant Management Standards" or"TxGMS" means uniform grant and contract
<br /> administration procedures, developed under the authority of Chapter 783 of the
<br /> Texas Government Code, to promote the efficient use of public funds in local
<br /> government and in programs requiring cooperation among local, state, and federal
<br /> agencies. Under this Grant Agreement, TxGMS applies to Grantee except as otherwise
<br /> provided by applicable law or directed by System Agency. Additionally, except as
<br /> otherwise provided by applicable law, in the event of a conflict between TxGMS and
<br /> applicable federal or state law, federal law prevails over state law and state law prevails
<br /> over TxGMS.
<br /> 1.2 INTERPRETIVE PROVISIONS
<br /> A. The meanings of defined terms include the singular and plural forms.
<br /> B. The words "hereof," "herein," "hereunder," and similar words refer to this Grant
<br /> Agreement as a whole and not to any particular provision, section, attachment, or
<br /> schedule of this Grant Agreement unless otherwise specified.
<br /> C. The term "including" is not limiting and means "including without limitation" and,
<br /> unless otherwise expressly provided in this Grant Agreement, (i)references to contracts
<br /> (including this Grant Agreement) and other contractual instruments shall be deemed to
<br /> include all subsequent Amendments and other modifications, but only to the extent that
<br /> such Amendments and other modifications are not prohibited by the terms of this Grant
<br /> Agreement, and (ii) references to any statute or regulation are to be construed as
<br /> including all statutory and regulatory provisions consolidating, amending, replacing,
<br /> supplementing, or interpreting the statute or regulation.
