For the avoidance of doubt, Grantee is expressly prohibited from using, and from <br /> permitting any third parry to use, System Agency Data for marketing, research, or other <br /> non-governmental or commercial purposes, without the prior written consent of System <br /> Agency. <br /> D. Grantee shall make System Agency Data available to System Agency, including to <br /> System Agency's designated vendors, as directed in writing by System Agency. The <br /> foregoing shall be at no cost to System Agency. <br /> E. Furthermore, the proprietary nature of Grantee's systems that process, store, collect, <br /> and/or transmit the System Agency Data shall not excuse Grantee's performance of its <br /> obligations hereunder. <br /> ARTICLE VIL PROPERTY <br /> 7.1 USE OF STATE PROPERTY <br /> A. Grantee is prohibited from using State Property for any purpose other than performing <br /> Services authorized under the Grant Agreement. <br /> B. State Property includes, but is not limited to, System Agency's office space, <br /> identification badges, System Agency information technology equipment and networks <br /> (e.g., laptops,portable printers, cell phones, iPads or tablets, external hard drives, data <br /> storage devices, any System Agency-issued software, and the System Agency Virtual <br /> Private Network(VPN client)), and any other resources of System Agency. <br /> C. Grantee shall not remove State Property from the continental United States. In addition, <br /> Grantee may not use any computing device to access System Agency's network or e- <br /> mail while outside of the continental United States. <br /> D. Grantee shall not perform any maintenance services on State Property unless the Grant <br /> Agreement expressly authorizes such Services. <br /> E. During the time that State Property is in the possession of Grantee, Grantee shall be <br /> responsible for: <br /> i. all repair and replacement charges incurred by State Agency that are associated with <br /> loss of State Property or damage beyond normal wear and tear, and <br /> ii. all charges attributable to Grantee's use of State Property that exceeds the Grant <br /> Agreement scope. Grantee shall fully reimburse such charges to System Agency <br /> within ten(10) calendar days of Grantee's receipt of System Agency's notice of <br /> amount due. Use of State Property for a purpose not authorized by the Grant <br /> Agreement shall constitute breach of contract and may result in termination of the <br /> Grant Agreement and the pursuit of other remedies available to System Agency <br /> under contract, at law, or in equity. <br /> 7.2 DAMAGE TO STATE PROPERTY <br /> A. In the event of loss,destruction, or damage to any System Agency or State of Texas <br /> owned, leased, or occupied property or equipment by Grantee or Grantee's employees, <br /> agents, Subcontractors, or suppliers, Grantee shall be liable to System Agency and the <br /> State of Texas for the full cost of repair, reconstruction, or replacement of the lost, <br /> destroyed, or damaged property. <br /> B. Grantee shall notify System Agency of the loss, destruction, or damage of equipment or <br /> property within one (1)business day. Grantee shall reimburse System Agency and the <br /> State of Texas for such property damage within ten(10) calendar days after Grantee's <br /> receipt of System Agency's notice of amount due. <br /> HHS Uniform Terms and Conditions—Grant v 3.5 <br /> Effective September 2024 <br /> Page 15 of 27 <br />
