Texas State#A 2022-0002 Master Agreement Modification 1 MASTER AGREEMENT between CITY OF SAN MARCOS and TEXAS STATE UNIVERSITY Modification Number 1 This is a Modification of the Master Agreement#A 2022-0002 between City of San Marcos (COSM) and Texas State University(Texas State) and shall become effective when fully executed by both parties. BACKGROUND The Master Agreement#A 2022-0002 between COSM and Texas State was fully executed and effective on September 17, 2021. Currently having four Task Orders under this Master Agreement. It is mutually understood and agreed by and between the undersigned contracting parties to the above numbered Master Agreement, shall be modified to adjust the term of the project from September 16, 2025 to be September 30, 2030. AGREEMENT The Parties agree to modification this Master Agreement as follows: Item 7,Term &Termination: shall be replaced in its entirety with the following: This Agreement becomes effective September 17, 2021, and remains effective through September 30, 2030. This Agreement and all Task Orders hereunder shall be terminable by either party for any reason following thirty (30) days written notice to the other Party. The COSM San Marcos Project Contract Manager may unilaterally in writing extend the project period of Task Orders under this Master Agreement to allow for extenuating circumstances, documented in writing, without the necessity of amending this Agreement. All other terms and conditions of this above Master Agreement not hereby modified, remain in full force and effect. Signatures on the following page. 1
