EXHIBIT 111" <br /> and any sanitary sewers (excluding privately-owned wastewater laterals), <br /> manholes, intercepting sewers, lift stations, pumping works and all other plants, <br /> works and equipment for the collection and transmission of Wastewater from the <br /> Customers, in addition to any other City connections from areas outside of the <br /> Tracts and the Districts, to the City's interim and permanent treatment facilities, <br /> which may include the Wastewater Treatment Plant, together with all extensions <br /> thereof and additions thereto. <br /> 36. "Wastewater Services" shall mean Wastewater collection,transmission,treatment, <br /> disposal and related services provided in compliance with all Regulatory <br /> Requirements utilizing the Facilities. <br /> 37. "Wastewater Treatment Plant" or "Plant" shall mean all or any component of the <br /> permanent treatment system(s) or facilities located on the Plant Site, whether or <br /> not physically interconnected, which are constructed or acquired or provided by <br /> the City for treatment and disposing of Wastewater collected from the Tracts and <br /> the Districts, and any real estate and any Discharge Permit rights acquired in <br /> connection with such treatment system or facilities; together with any such <br /> expansions, modifications, or regulatory upgrades as may be required in the <br /> future or as may be necessary to comply with any Regulatory Requirements; all or <br /> any part of any permanent treatment systems whether on the Plant Site or <br /> physically connected from which Wastewater treatment services are or will be <br /> furnished or made available to the Tracts and the Districts or physically connected <br /> from which Wastewater treatment services are or may be furnished to areas <br /> outside the Tracts and the Districts including appurtenances or facilities used in <br /> connection therewith, such as biological treatment and filter basins, effluent <br /> structures, reuse systems, temporary wastewater treatment facilities (not <br /> otherwise referenced herein), electrical and administrative building(s), blower <br /> building(s), alum feed building(s), lift stations (not otherwise referenced herein), <br /> clarifiers, splitter boxes, pump stations, solids handling stations, roads or access <br /> facilities on the Plant Site, all as more particularly shown on Exhibit C attached <br /> hereto and any other Plant Site improvements required to meet Regulatory <br /> Requirements. <br /> 38. "Wastewater Treatment Plant Site" or"Plant Site" shall mean the 24.4 acres, more <br /> or less, located on the Sedona South Tract, as more particularly shown on Exhibit <br /> C attached hereto. <br /> II. WASTEWATER FACILITIES <br /> 1. Construction, Design, and Financing of the Wastewater Facilities. The City, at its <br /> cost and expense, shall permit, design, and construct the Facilities (excluding the <br /> Improvements) necessary to provide Wastewater Services to the Customers.
