from suit for a default specific to this Agreement. <br /> Section 10.05 No Liability for Actions of Others. Except as expressly set forth in this <br /> Agreement: (a)the liabilities, obligations, and responsibilities of Owners, Developer, and <br /> their respective successors and assigns under this Agreement are several and not joint; <br /> and (b) no Owner, Developer, or their respective successors and assigns, shall be in <br /> default under this Agreement or otherwise liable or responsible for any default which is <br /> not caused by such landowner or Developer or by any person acting by, through, or <br /> under such Owner, Developer or successor or assign. <br /> ARTICLE XI. <br /> MISCELLANEOUS PROVISIONS <br /> Section 11.01 Termination. This Agreement may be terminated as to all the Property <br /> only by express written agreement executed by all Parties. This Agreement may be <br /> terminated as to a portion of the Property only by express written agreement executed <br /> by the City and the Owner, or its successors and assigns, of the portion of the Property <br /> affected by the termination. Upon termination, the Parties shall execute and file of record <br /> a document confirming the termination of this Agreement. <br /> Section 11.02Agreement Binds Succession and Runs with the Land. This Agreement <br /> shall bind and inure to the benefit of the Parties and their respective successors and <br /> assigns, as provided herein. The terms of this Agreement shall constitute covenants <br /> running with the land comprising the Property and shall be binding on all future <br /> developers and owners of land within the Property, other than Ultimate Buyers. <br /> Section 11.03 Notice. Any formal notice or other formal communication("Notice")given <br /> under this Agreement shall be in writing and may be given: (i) by deposit in the United <br /> States mail, certified, return receipt requested, postage prepaid, addressed to the Party to <br /> be notified; (ii) by deposit with Federal Express or another nationally recognized courier <br /> service guaranteeing "next day delivery", with all charges prepaid, addressed to the <br /> Party to be notified; or (iii) by personal delivery to the Party to be notified or any agent <br /> of the Party. Notice deposited in the United States mail shall be effective from the earlier <br /> of the date of receipt or three (3) days after the date of such deposit. Notice given in any <br /> other manner shall be effective on the date delivered, if sent by personal delivery, or the <br /> day after deposit with a "next day delivery" service. For the purposes of notice, the <br /> addresses of the Parties shall, until changed as provided below, be as follows: <br /> Owners: HK Baugh Ranch, LLC <br /> 24607 Fairway Springs <br /> San Antonio, Texas 78260 <br /> Attn: Paul Kuo, Manager <br /> 22 <br />
