ARTICLE III. <br /> GOVERNING REGULATIONS <br /> Section 3.01 Governing Development Regulations. <br /> (a) Development of the Property shall be governed by: <br /> (i) the Concept Plan (Exhibit B); <br /> (ii) the Subdivision Regulations (Exhibit E) to the extent not in conflict with this <br /> Agreement and as may be modified by any variances granted in this <br /> Agreement; <br /> (iii) applicable provisions of the Hays County Development Regulations, as <br /> modified by the Interlocal Agreement; <br /> (iv) construction plans and plats for all or any portion of the Property that are <br /> approved from time to time in accordance with this Agreement; <br /> (v) applicable provisions of other state and federal laws; <br /> (vi) the terms and conditions of this Agreement; and <br /> (vii) the applicable Strategic Partnership Agreement and Utility Agreement. <br /> (b) Owners and Developer shall not be required to comply with any City <br /> Development Regulations, except as may otherwise be provided in this <br /> Agreement. To the extent any provisions of this Agreement conflict with any <br /> provisions of the Subdivision Regulations or City Development Regulations, this <br /> Agreement shall control. <br /> Section 3.02 Variances. The City acknowledges and agrees that the Project complies <br /> with the intent of the Subdivision Regulations and hereby adopts the variances set forth <br /> in Exhibit F attached hereto and incorporated herein to facilitate development of the <br /> Project. No further action will be required on the part of an Owner or Developer to obtain <br /> such variances or initiate subdivision plat approvals that vary from the Subdivision <br /> Regulations. The City agrees that this Agreement, including all exhibits hereto, will also <br /> serve as guidance for review and consideration of any additional variances, waivers, or <br /> other approvals not specifically provided in this Agreement but necessary for <br /> development of the Project, which variances will not be unreasonably withheld, <br /> conditioned, or delayed. <br /> Section 3.03 Governmental Regulations. The Parties acknowledge that the Property <br /> and the Project may be subject to rules,regulations, statutes, resolutions, ordinances, and <br /> orders by other governmental entities. <br /> 6 <br />
