Appendix 3 Data Usage Agreement This Data Usage Agreement(the"Agreement")is made and entered into as of the by and between Frontier Direct,LLC("Frontier")and the City of San Marcos, Texas(herein after referred to as"The Business"). In consideration of the mutual covenants and agreements contained herein,the parties agree as follows: 1. Data Sharing. The Business agrees to provide Frontier with its data (the "Data") for use in connection with Frontier's SaaS platform(the"Platform").Frontier will use the Data solely for the purpose of providing the Platform to The Business and its users. 2. Data Security.Frontier will use commercially reasonable efforts to protect the confidentiality, integrity, and availability of the Data. Frontier will implement and maintain physical, technical, and administrative safeguards that are reasonably designed to protect the Data from unauthorized access, use, disclosure, modification, or destruction. Frontier will also comply with the Health Insurance Portability and Accountability Act(HIPAA) and other applicable privacy and security laws and regulations. a. Specifically,Frontier will: i. Use strong passwords and other security measures to protect access to its systems and data. ii. Monitor its systems and networks for unauthorized activity. iii. Train its employees on data security best practices. iv. Conduct regular security audits. V. Report any security incidents to Customer promptly. vi. Frontier will use all reasonable efforts to protect the confidentiality, integrity, and availability of the Data. However,Frontier cannot guarantee that the Data will be completely secure at all times. There is always the risk that the Data could be accessed,used, disclosed,modified,or destroyed by unauthorized individuals or entities. 3. Data Sharing with Third Parties. Frontier will not share the Data with any third party without The Business's prior written consent, except as follows: a. Frontier may share the Data with its third-party vendors and service providers who are necessary to provide the Platform to The Business. b. Frontier may share the Data with law enforcement or other government agencies if required to do so by law or court order. c. Frontier may share Medical Records with the Business's Third Party Administrator or other vendors the Business designates. Frontier may also share Medical Records from time to time with the Business's Insurance Provider. d. Frontier may share aggregated or anonymized Data with third parties for research or marketing purposes. 4. The Business's Rights. The Business has the right to access, correct, and delete its Data at any time. The Business may exercise these rights by contacting Frontier at sales@frontier.health.
