INTERLOCAL AGREEMENT CITY OF SAN MARCOS AND GUADALUPE-BLANCO RIVER AUTHORITY WATER QUALITY ANALYTICAL SERVICES The City of San Marcos ("City") and Guadalupe-Blanco River Authority ("GBRA") enter into this Interlocal Agreement under the authority of the Interlocal Cooperation Act, Chapter 791 of the Texas Government Code, as amended. Section 1. Scope of Services GBRA agrees to provide microbiological, liquid and solid analytical services for the City of San Marcos on an as needed basis upon notification by the City in accordance with the fee schedules attached to this Agreement as Attachment A for the time period of July 1, 2008 through August 31, 2008 and Attachment B for the time period of September 1, 2008 through June 30, 2011. Section 2. Compensation The City agrees to pay GBRA a not to exceed total of $45,000 per year, with no annual minimum amount, for GBRA's satisfactory performance of its services under this Agreement. GBRA will bill the City in accordance with the cost per sample rates included in Attachments A and B for services rendered in the previous month, and the City will pay for these services within 30 days of its receipt of invoices from GBRA. In the event that a rate increase is necessary, • GBRA will notify the City no later than 60 days prior to the date rates are scheduled to increase. Section 3. Term The term of this Agreement will commence on July 1, 2008 and continue until June 30, 2011 unless terminated by either party in accordance with Section 4(g). Section 4. Miscellaneous Provisions a) Interlocal Cooperation: The City and GBRA agree to cooperate with each other in good faith at all times during the teem of this Agreement in order to achieve the purpose and intent of this Agreement. Each party to this Agreement acknowledges and represents that this Agreement has been executed by its duly authorized representative. b) Entire Agreement, Amendments, Assignments: This Agreement contains the entire agreement between the parties and supersedes all prior understandings and agreements between the parties regarding such matters. This Agreement may not be modified or amended except by written agreement executed by both parties. Neither party may assign this Agreement without the written consent of the other party. 0
