FUNDING AGREEMENT <br />This agreement (the "Agreement") is made and entered into to be effective as of October <br />1, 2009, between the City of San Marcos (the "City"), 630 East Hopkins, San Marcos, Texas, <br />and the Village of San Marcos (the "Village"), 1901 Dutton Drive, Suite E, San Marcos, Texas <br />78666, The City and the Village may be referred to as a "Party" or, collectively, as the "Parties". <br />RECITALS <br />WHEREAS, the Village of San Marcos, inc. is a Texas nonprofit corporation exempted <br />from certain taxes as a charitable organization under Section 501(c)(3) of the United States <br />Internal Revenue Code which represents a consortium of public, non-profit and community <br />based organizations; and <br />WHEREAS, the Village, among other activities in furtherance of its tax-exempt <br />charitable purposes, has acquired land and constructed facilities for the purpose of creating a <br />centralized recreational and social services center, often referred to as a "one-stop" center, on <br />Reimer Street near Hunter Road in the City of San Marcos (the "Land")' where members of the <br />consortium and other such public and non-profit charitable organizations may provide services to <br />their constituents (a site plan showing the location of the Land in the area labeled "The Village <br />Hall Main Building" and general layout of the one stop center is attached hereto as Exhibit "A"); <br />and <br />WHEREAS, the Village intends to expand its facilities on the Land by constructing an <br />administrative complex consisting primarily of office and business meeting space available for <br />lease to the various members of the consortium and other such public and non-profit <br />organizations that may be approved by the Village from time to time (the "Village Main <br />Project"); and <br />WHEREAS, the Village will incur certain expenses related to the design of the Village <br />Main Project and has requested that the City assist by providing funds for such expenses; and <br />WHEREAS, the City believes that the services provided by the Village, its member <br />organizations and other such social service and charitable organizations alleviate burdens on <br />local government and address many of the health, safety and welfare concerns of the community <br />and that the Village Main Project will enable them to more effectively provide these services; <br />and <br />WHEREAS, the Village Main Project will further benefit the City by enabling the <br />consolidation of local social services agencies, including city, county and state in one location <br />within the city of San Marcos. <br />WHEREAS, for the reasons stated above, the City finds that the Village Main Project <br />serves a public purpose and is in the best interests of the residents of the City of San Marcos and <br />wants to provide funding for the Village Main Project as set forth below.
