<br />-3- <br /> <br />VII. <br /> <br />Club <br /> <br />shall <br /> <br />permit <br /> <br />only <br /> <br />its <br /> <br />members to <br /> <br />participate in <br /> <br />even ts <br /> <br />on <br /> <br />the <br /> <br />subject <br /> <br />premises. <br /> <br />Club <br /> <br />shall <br /> <br />exercise <br /> <br />due diligence when <br /> <br />conducting its activities to protect <br /> <br />the <br /> <br />safety <br /> <br />and <br /> <br />welfare of <br /> <br />its <br /> <br />members, <br /> <br />spectators, <br /> <br />and <br /> <br />all other persons and property in the area. <br /> <br />This includes posting removable signs if necessary to warn <br /> <br />pedestrians <br /> <br />of Club activities. <br /> <br />VIII. <br /> <br />This <br /> <br />Agreement <br /> <br />is <br /> <br />subject <br /> <br />to the Club <br /> <br />successfully organizing <br /> <br />itself as a charter member of the Academy of <br /> <br />Model <br /> <br />Aeronautics <br /> <br />and <br /> <br />maintaining such membership. <br /> <br />IX. <br /> <br />The Club shall not place any structures or <br /> <br />items on <br /> <br />the <br /> <br />subject <br /> <br />premises <br /> <br />which <br /> <br />are <br /> <br />not <br /> <br />removed <br /> <br />after <br /> <br />every <br /> <br />club <br /> <br />activity on the <br /> <br />premises. <br /> <br />x. <br /> <br />Club <br /> <br />shall <br /> <br />indemnify <br /> <br />and hold harmless City and all officers, <br /> <br />agents and employees of City from any and all damages, claims, <br /> <br />losses, <br /> <br />demands, <br /> <br />suits, <br /> <br />judgments, <br /> <br />costs <br /> <br />and <br /> <br />expenses <br /> <br />arising <br /> <br />from <br /> <br />the <br /> <br />use by Club of Lowman Airport directly or <br /> <br />indirectly <br /> <br />related to <br /> <br />this <br /> <br />ag reeme n t <br /> <br />including <br /> <br />reasonable <br /> <br />attorneys' <br /> <br />fees <br /> <br />whenever <br /> <br />damages, <br /> <br />claims, losses, demands, suits, judgments, costs or expenses are caused <br /> <br />in <br /> <br />whole <br /> <br />or in part <br /> <br />by any intentional or <br /> <br />negligent act or omission <br /> <br />of Club, anyone directly or indirectly employed by Club or <br /> <br />anyone <br /> <br />for <br /> <br />whose acts Club <br /> <br />may be liable, regardless <br /> <br />of whether damages, claims, <br /> <br />losses, demands, suits, judgments, costs or expenses are caused in part <br /> <br />by City. <br />
