<br />that it wi1l perform the duties and functions of Paying Agent/Registrar prescribed <br />hereby. <br /> <br />Section 5.07. Delivery of Records to Successor. <br /> <br />If a Paying Agent/Registrar is replaced, such Paying Agent/Registrar, <br />promptly upon the appointment of the successor, wi1l deliver the Register (or a copy <br />thereof) and all other pertinent books and records relating to the Certificates to the <br />successor Paying Agent/Registrar. <br /> <br />ARTICLE VI <br />FORM OF THE CERTIFICATES <br /> <br />Section 6.01. Form Generally. <br /> <br />(a) The Certificates, the Registration Certificate of the Comptroller of <br />Public Accounts of the State of Texas, the Certificate of the Paying <br />Agent/Registrar, and the Assignment form to appear on each of the Certificates, (1) <br />shall be substantially in the form set forth in this Article, with such appropriate <br />insertions, omissions, substitutions, and other variations as are permitted or required <br />by this Ordinance, and (ii) may have such letters, numbers, or other marks of <br />identification (including identifying numbers and letters of the Committee on <br />Uniform Securities Identification Procedures of the American Bankers Association) <br />and such legends and endorsements (including any reproduction of an opinion of <br />counsel) thereon as, consistently herewith, may be determined by the City or by the <br />officers executing such Certificates, as evidenced by their execution thereof. <br /> <br />(b) Any portion of the text of any Certificates may be set forth on the <br />reverse side thereof, with an appropriate reference thereto on the face of the <br />Certificates. <br /> <br />(c) The Certificates shall be printed, lithographed, or engraved, and may <br />be produced by any combination of these methods or produced in any other similar <br />manner, all as determined by the officers executing such Certificates, as evidenced <br />by their execution thereof. <br /> <br />Section 6.02. Form of Certificates. <br /> <br />The form of Certificates, including the form of the Registration Certificate <br />of the Comptroller of Public Accounts of the State of Texas, the form of <br />Certificate of the Paying Agent/Registrar and the form of Assignment appearing on <br />the Certificates, shall be substantially as follows: <br /> <br />0405s <br /> <br />-13- <br />
