Webster, City Manager <br />Earl Williams, Director of Finance <br />Airport Conrnission <br /> <br />Charles Evans, City Attorney <br /> <br />FOO Cohtract, San Marcos M1J!ri.cipal Airport <br /> <br />February 23, 1978 <br /> <br />IE: <br /> <br />I <br /> <br />I <br /> <br />CSM-'OO <br /> <br />The Airport Commission 's. appraisal of Chandelle Aviation's Confonnance to <br />the FOO Contract for San Marcos Municipal Airport raises the following <br />questions: <br /> <br />(1) Does Chandelle Aviation, Inc. still exist as a corporate entity? <br /> <br />(2) Is the present business entity or corporate "person" performing <br />FOO activities at the airport acceptable to the Council and has <br />Council consent been obtained in regard to changes in FBO? <br /> <br />( 3) Have FOO actions voided the option to extend the contract for <br />an additional five years? <br /> <br />(4) What are the cancellation provisions of the FOO contract? <br /> <br />Discussion (1): <br /> <br />The original contract for roo services was made between the City and Rohr <br />Aircraft Service Company in December of 1975 to cover the period between <br />January 1, 1976 and December 31, 1980. (Para. VI) An FBO option to renew <br />for an additional five years was also included in the agreement. (Para. XIII). <br /> <br />In March, 1976, the rights and responsibilities under the original contract <br />were transferred from Rohr to Chandelle Aviation, Inc. This change was <br />approved by City Council Resolution No. 1976-17-R in accordance with Par~. XII <br />of the contract which reads as follows: <br /> <br />"No rights or privileges under this contract shall be sold, transferred, <br />assigned or subleased by roo nor shall they pass to ,any other person <br />without the consent in writing of the City of San Marcos." <br /> <br />The continued existence and operation of Chande11e Aviation, Inc. as the cor- <br />porate"~'person" with whan the City has contracted is very doubtful.
