Attached hereto as Exhibit A-1 is a copy of the Corporation's Articles of Incorporation~ as certified by the Secretary of State of the State of Texas on January 5, 1981, ns in effect on August ], 1979, and at all times since, and attached hereto as Exhibit A-2 is a Certificate of the Secretary of State of the State of Texas, dated January , 1981, as to the continued existence of the Corporation. 5. Attached hereto as Exhibit B-1 is @ true and correct copy of the Bylaws of the Corporation as approved by the City Council of the- Unit and adopted by the Board and in effect as of August 1, 1979, through February 24, 1980, and attached hereto as Exhibit B-2 is a true and correct copy of the Amended Bylaws of the Corporation as approved by the Unit and in effect as of February 25, 1980, and at all times since. 6. Attached hereto as Exhibit C is a copy of the ruling of the Comptroller of Public Accounts of the State of Texas as to the exemption of the Corporation from payment of Texas franchise taxes. 7. Attached hereto as Exhibit D-1 is a true and correct copy of the Resolution of the Board Prescribing the Form and Substance of an the Agreement to Issue Bonds, which was adopted at a duly convened special meeting of the Board on August 13, 1979,~and attached hereto as Exhibit D-2 is a true and correct copy of the Resolution of the Board Prescrib- ing the Form and Substance of a First Amendment to Agreement to Issue Bonds which was adopted at a duly convened special meeting of the Board on February 19, 1980, during each of which meetings a quorum was present and voting throughout, and attached hereto as Exhibit E is a true and correct copy of the Resolution of the Board Authorizing Issuance of Bonds and Approving Documents, which was adopted at a duly convened special meeting of the Board on January 12, 198], during which a quorum was present and voting throughout; the original of each of such Resolu- tions is on file in the official records of the Corporation and such Resolutions have not been amended and are in full force and effect; and each member of the Board either received notice by mail of each of the meetings mentioned above as prescribed by the Act and the Bylaws of the Corporatidn or executed a written waiver of all requirements for notice of the meetings in accordance with Section 15(d) of the Act. 8. The Bonds shall be issued under and secured'by a trust inden- ture, dated as of November 1, 1980 (the "Indenture"), between the Cor- poration and Wachovia Bank and Trust Company~ N.A., as trustee (the "Trustee"). The Bonds are issued in order to provide funds for the Corporation to lend to Butler Manufacturing Company (the "User"), a Delaware corporation, to provide interim financing for the acquisition and construction of certain industrial facilities (together with the User's interest in the site thereof, the "Project").
