PROFESSIONAL ENGINEERING SERVICES AGREEMENT This Agreement is made this the 15th day of July, 2008, between the City of San Marcos, Texas ("City"), 630 East Hopkins, San Marcos, Texas 78666 and Kellogg Brown & Root Services, Inc., a Delaware Corporation ("Engineer") for the provision of professional engineering services in connection with the N. L.B.J. Drive Reconstruction Project (the "Project"). The City and the Engineer agree as follows: ARTICLE 1 ENGINEER'S SERVICES AND RESPONSIBILITIES 1.0 STANDARDS OF PERFORMANCE 1.0.1 Engineer will be responsible for the proper, accurate and adequate design and preparation of plans and specifications and other construction contract documents and for construction administration for the Project. The Project consists of improvements to LBJ Drive from Sessom Drive to Holland Street. LBJ Drive currently is a heavily traveled minor arterial serving as a major north/south thoroughfare that is one of the major access points to Texas State University - San Marcos ("TxState") campus. It is currently a 2-lane roadway in various states, including curb & gutter on the south end, to open ditch section on the north end, with no shoulders and limited sidewalks. The proposed improvements consist of full reconstruction of approximately 3,200 linear feet of LBJ Drive, with intersection, signal, bicycle and pedestrian improvements. The work will also include replacing existing 2-inch and 6-inch water lines with a 12-inch water line. 1.0.2 The Engineer understands that funding for this Project is being provided by two sources: a) The Project is considered a Surface Transportation Program -Metro Mobility ("STP- MM") Project, partly funded by the Federal Highway Administration ("FHWA") through a grant administered by the Texas Department of Transportation ("TxDOT") under the terms of a Local Transportation Project Advanced Funding Agreement and all design work and construction documents will meet American Association of State Highway Officials ("AASHTO") standards at a minimum, but will attempt to meet TxDOT standards as indicated in this Agreement. b) The waterline replacement will be financed by Revenue Bonds issued by the City and all design work related to these improvements will meet City of San Marcos and City of Austin standards and specifications. 1.0.3 The Engineer's Basic Services consist of the services described in Sections 1.0 through 1.5 and include normal civil engineering services as well as those engineering services to be performed through the following consulting disciplines as subcontractors to the Engineer:
