11.1. Taxes. Lessor shall be responsible for payment of all taxes and assessments against the <br />building, subject to Lessee's obligations under Paragraph 2.2(c). Lessee shall be responsible for <br />payment of all taxes assessed against Lessee's furniture, equipment, fixtures, or other personal <br />property in Lessee's office space. <br />11.2. Insurance. Lessor and Lessee shall comply with the respective insurance obligations as <br />set forth below. <br />(a) Lessor. Lessor shall maintain fire and extended coverage insurance (including <br />vandalism and malicious mischief) on the building in which the Lessee's office space is located. <br />Lessor shall maintain comprehensive general liability insurance in such amounts as Lessor may <br />desire. Lessor shall have no responsibility to maintain fire and extended coverage insurance on <br />Lessee's contents. Any increase in insurance premiums due to Lessee's acts or omissions or Lessee's <br />special improvements or special equipment shall be paid for by Lessee. <br />(b) Lessee. Lessee shall provide Lessee's own general liability insurance for its <br />operations on the Leased Premises in an amount not less than $1,000,000 for each occurrence. Upon <br />written notice by Lessor to Lessee, such dollar amounts of Lessee's liability policy shall be increased <br />by the amount of any increase required for Lessor's primary liability coverage under Lessor's <br />umbrella liability policy. At the time of signing this Lease, the above stated dollar amounts are not <br />less than the amounts required by Lessor's umbrella liability policy for Lessor's primary liability <br />coverage. Lessee is encouraged to maintain fire and extended coverage insurance (including <br />vandalism and malicious mischief) on the contents in Lessee's office space, including furniture, <br />equipment, supplies, inventory, and other personal property. Such property is not covered by <br />Lessor's insurance. <br />(c) Insurance Certificates. Lessee shall provide Lessor with a certificate of Lessee's <br />insurance as required above within 10 days after Lessee initially occupies Lessee's office space or <br />any portion thereof, and within 10 days of each and every renewal or replacement of such policy. <br />Upon written request by Lessor, changes in the name of Lessor or Lessor's managing agent shall be <br />reflected on such certificate. <br />12.1. Hold Harmless and Indemnification. To the extent permitted by law and without <br />waiving any immunity or limits on liability under applicable laws, Lessee shall indemnify Lessor for <br />and shall hold Lessor harmless from all fines, suits, claims, demands, liabilities and actions <br />(including costs and expenses of defending against same) alleged to result from any breach or non- <br />performance of any provision of the Lease by Lessee or Lessee's agents, employees, family, <br />licensees, invitees, or visitors. Lessor shall not be liable to Lessee or Lessee's agents, employees, <br />family, licensees, invitees, or visitors for any damage to person or property resulting from any act, <br />omission, or negligence of any building co- tenant, visitor or other occupant of the building. Neither <br />Lessor nor Lessee shall be liable to the other for damage to person, property, or business resulting <br />from intentional criminal acts of agents or employees of the other, except to the extent that such <br />damages are covered by insurance. <br />13.1. Alterations by Lessee. Lessee may not make any alterations, improvements, lock <br />changes, or other modifications of any kind to the Leased Premises without Lessor's written consent. <br />Requests for same shall be in writing and shall be detailed to Lessor's reasonable satisfaction.
