<br />LICENSE FOR PUBLIC ROAD CROSSING

<br />THIS AGREEMENT, executed in duplicate this day of
<br />19 , by and between MISSOURI PACIFIC RAILROAD COMPANY, a Delaware
<br />corporation, hereinafter called "Railroad", and the CITY OF SAN MARCOS,
<br />a Municipal corporation of the State of Texas, hereinafter called
<br />"Licensee", WITNESSETH:

<br />In connection with'the reconstruction and
<br />relocation of Cheatham Street, Licensee has requested
<br />of Railroad permission to remove the existing road
<br />crossing for Cheatham Street at ECS 11190+55 and to
<br />establish, construct and maintain a new public high-
<br />way crossing for Cheatham Street over and across
<br />certain lands of Railroad at ECS 11192+75, Mile
<br />Post 210.0, at San Marcos, in Hays County, Texas,
<br />to which Railroad is agreeable but solely upon the
<br />terms and conditions hereinafter set forth.

<br />NOW, THEREFORE, in consideration of the premises and of the promises and
<br />conditions hereinafter set forth, the parties hereto agree as follows:

<br />1. Railroad, solely to the extent of its right, title and interest,
<br />without ,any warranty, express or implied, hereby grants unto Licensee, its
<br />successors and assigns, license and permission to establish and construct,
<br />maintain and use a public highway, and appurtenances (including structures,
<br />paving and other necessary facilities), at grade, over, upon and across Rail-
<br />road's tracks and right of way lands situated at ECS 11192+75, Mile Post 210.0,
<br />in San Marcos, Hays County, Texas, approximately where shown on Railroad's
<br />Southern District, Palestine Division white print, File No. 118-1101-1,
<br />dated December 14, 1978, at Houston, Texas, marked Exhibit A, attached hereto
<br />as part hereof. --'<"
