• <br />• <br /> <br />prescribed by the Texas Election Code. The County agrees to furnish the City with copies of any <br />election documents upon the City's request at no charge. <br />Section 10. The term of this Agreement will commence on August 5, 2008 and will <br />renew automatically each year on this date unless terminated by either party. All the remaining <br />terms and conditions of this Agreement will remain in full force and effect except for the <br />renewal. The option to renew requires the mutual agreement of both parties. Refusal of either <br />party to exercise this option to extend will cause this contract to expire. Either party may <br />terminate this Agreement by giving a 120 calendar day advance written notice to the other party. <br />Section 11.. Nothing in this Agreement will waive, modify or amend any legal defenses <br />available at law or in equity to the County, the City or the Officer, or to create any legal rights or <br />claim on behalf of any third party. Neither the City nor the Officer, on her behalf or on behalf of <br />the County, waives any defenses whatsoever, including, but not limited to, governmental or <br />official immunity. <br />Section 12. This Agreement contains the entire agreement between the parties and <br />supersedes all prior understandings and agreements between the parties regarding such matters. <br />This Agreement may not be modified or amended except by written agreement executed by both <br />parties. Neither party may assign this Agreement without the written consent of the other party. <br />However, the Officer may assign deputies to perform any of the contracted services and may <br />contract with third persons for election services and supplies. <br />Section 13. Should any provision in this Agreement be found or deemed to be invalid, <br />this Agreement will be construed as not containing the provision and all other provisions which <br />are otherwise lawful will remain in full force and effect, and to this end the provisions of this <br />Agreement are declared to be severable. In case any one or more of the provisions contained in <br />this Agreement are for any reason held to be invalid, illegal or unenforceable in any respect, such <br />invalidity, illegality, or unenforceability will not affect any other provision thereof, and this <br />Agreement will be construed as if such invalid, illegal, or unenforceable provision had never <br />been contained herein. <br />Section 14: This Agreement will be construed under and in accordance with the laws of <br />the State of Texas, and all obligations of the parties created hereunder are performable in Hays <br />County, Texas. Exclusive venue for any dispute arising under this Agreement is in Hays County, <br />Texas. <br />Section 15: Any notice provided for under this Agreement will be forwarded to the <br />following addresses: <br />Hays County <br />County Judge <br />111 E.
