ATTACHMENT A <br />ACCEPTANCE CERTIFICATE <br />This Acceptance Certificate is executed and delivered by City of San Marcos ( "Lessee ") in connection with the Governmental Equipment <br />Lease - Purchase Agreement Transaction Number 1740196 (the "Agreement "), between Lessee and Caterpillar Financial Services <br />Corporation ( "Lessor "). <br />Lessee hereby certifies that: <br />L Capitalized terms used herein and not defined herein shall have the meanings assigned to them in the Agreement. <br />2. The Equipment: I NEW TRAILER Caterpillar TRAILER has been delivered to it. and has been inspected by it, and is in good <br />working order and condition and is of the size. design, capacity and manufacture selected by it and meets the provisions of the purchase orders <br />wwith respect thereto. Lessee hereby confirms it irrevocably accepts said items of Equipment "as -is, where -is" for all purposes of the Agreement <br />as of the Acceptance Date set forth below. <br />3.
