April26,2004 Kleinfelder 3601 Manor Road Austin, Texas 787223 Attn: Mr. Ken Holcomb, SET, Area Manager LETTER OF AGREEMENT Dear Mr. Holcomb: This letter shall serve as an agreement between Kleinfelder ("Consultant"), 3601 Manor Road, Austin, Texas 78723 and the City of San Marcos ("City"), 630 East Hopkins, San Marcos, Texas 78666 for the provision of professional construction materials testing services in connection with various Capital Improvement Projects for the City. Consultant agrees to perform all services in accordance with the attached City of San Marcos Terms and Conditions for Professional Service Agreements (Attachment A). In the event of any conflict between the provisions of this agreement and the provisions in Attachment A, this agreement will control. The Consultant will perform its services on a per project basis upon notification by the City in accordance with the Consultant's Scope of Work attached to this Agreement as Attachment B. Each material change (deletion or addition) in the services to be provided by Consultant must be authorized bythe City on the Authorization of Change in Services form attached to this Agreement as Attachment C. The City agrees to pay Consultant a not-to-exceed amount of $50,000.00 for services performed by the Consultant during each one-year term of this agreement. The Consultant agrees to bill the City in accordance with the fee schedule included in Attachment B. The term of this Agreement is for a one year period beginning on the date of this letter. This Agreement will automatically renew unless terminated in accordance with 5(b) of Attachment A. Please indicate your acceptance of this agreement by counter-signing below, and returning one fully executed copy to the City's Legal Department.
