Young <br />Digital Mapping Services, L.P. <br />710 Buffalo Street, Suite 700 <br />Park Tower Building <br />Corpus Christi, Texas 78401 <br /> <br />Dear Young: <br /> <br />This letter will serve as an agreement between the City of San Marcos (the "City"), and Digital Mapping <br />Services, L.P. ("DMS"). The City and DMS agree as follows: <br /> <br />1. The City agrees to extend cellular phone capability to DMS representatives through the <br />Continuously Operating Reference Station system of the City ("CSM1") for the purpose of <br />performing Real Time Kinematic (RTK) GPS operations, when dialing in from multiple outside <br />GPS rover-receiver users simultaneously. <br /> <br />2. The City agrees to supply two telephone jack (RJll type) outlets with the associated wiring <br />between the point of demarcation of local phone service and the existing CSMl Single Reference <br />System, ("SRS") DMS shall furnish two modems to hook up to the modem splitter box , to <br />enable simultaneous cellular dial-in capability from two outside GPS rover receiver users into the <br />SRS. <br /> <br />3. The City agrees to dedicate two telephone numbers to DMS for the duration of this agreement. <br />DMS shall bear the cost of modem purchase and the necessary null-modem wiring to connect to <br />the CSMl system, and the telephone wiring required to connect to the locallandline phone jacks. <br />The City of San Marcos agrees to bear the cost of internal phone line installation from the <br />demarcation point of local phone service into its Engineering Department office where the SRS is <br />located and operated by the Engineering Department. DMS shall bear the cost of and activate <br />the two land lines through the local telephone company to the demarcation point in order to <br />supply access of the phone numbers to DMS and its users. <br /> <br />4. DMS shall establish billing of the monthly fee to maintain the phone lines by the local telephone <br />company in its name and shall be solely responsible for the service. <br /> <br />5. The City agrees that DMS shall be the sole and exclusive user of the two phone lines and the two <br />phone numbers supplied by the City. Upon completion of DMS RTK operations, DMS shall <br />remove the modems, and relinquish the telephone numbers to the City. <br /> <br />6. DMS agrees to pay the City a fee of $600.00 for each year of this agreement. This amount is <br />payable in advance and is nonrefundable in the event of termination by either party in the course <br />of a year.
