EXHIBIT "A" <br />PROMISORRY NOTE <br />Date: May 18, 2010 <br />Borrower: El Milagro of Texas, Inc. <br />Borrower's Mailing Address: 400 Barnes Drive, San Marcos, Hays County, Texas 78666 <br />Lender: City of San Marcos, Texas, 630 East Hopkins, San Marcos, <br />Ilays County, Texas 78666 <br />Place for Payment: 630 East Hopkins, San Marcos, Texas 78666 <br />Principal Amount: $31,450.00 <br />Annual Interest Rate: Zero percent (0 %) per annum <br />Maturity Date: November 15, 2020 <br />Terms of Payment (principal and interest): The Principal Amount is due and payable in <br />equal monthly installments of FOUR THOUSAND FOUR HUNDRED NINETY FIVf <br />DOLLARS (S4,495.00) beginning May 19, 2010 and tlaereafter on the 15th da_v of each <br />succeeding month through October 2010, and in one final installment on November 15 2010 in <br />the amount of the unpaid principal as of that date. If any installment becomes overdue for more <br />than five days, at Lender's option a late payment charge of five percent of the amount due during <br />the month for which payment is due in order to defray the expense of handling the delinquent <br />payment. <br />Security for Payment: None. <br />Borrower promises to pay to the order of Lender the Principal Amount. This note is <br />payable at the Place for Payment and according to the Terms of Payment. All unpaid amounts <br />are due by the Maturity Date. After maturity, Borrower promises to pay any unpaid principal <br />balance plus late payment charges on Matured, Unpaid Amounts. <br />if Borrower defaults in the payment of this note or in the performance of any obligation <br />in any instrument securing or collateral to this note, Lender may declare the unpaid principal <br />balance, late payment charges, and any other amounts owed on the note immediately due. <br />Borrower and each surety, endorser, and guarantor waive all demand for payment, presentation <br />for payment, notice of intention to accelerate maturity, notice of acceleration of maturity, protest, <br />and notice of protest, to the extent permitted by law. This note is the Promissory Note required <br />under that certain Chapter 380 Economic Development Incentive Agreement of even date <br />herewith by and between the City of San Marcos and El Milagro of Texas, Inc.
