payment of certain design and construction expenses for an artifacts storage room and curation <br />room as set forth in the attached Exhibit "A" (the "Eligible Expenses "). <br />ARTICLE 2 <br />OBLIGATIONS OF THE MUSEUM <br />2.1 The Museum agrees to utilize the Funds it receives under this Agreement to pay <br />for Eligible Expenses and in compliance with all the terms and conditions specified in this <br />Agreement. <br />2.2 The Museum shall pursue the design and construction to completion of the design <br />and construction work with commercially reasonable diligence. <br />2.3 During the Term of this Agreement, the Museum shall provide to the City <br />quarterly written reports outlining the status of the work. <br />2.4 Museum shall furnish City with copies of all contracts it enters into for the design <br />and construction of the work and all invoices for work to be paid or reimbursed with the Funds <br />provided by this Agreement. <br />2.5 The persons, firm or firms with which the Museum contracts to perform the <br />services paid for with the Funds shall be duly licensed and otherwise legally qualified to perform <br />such services in the City of San Marcos, Texas. <br />ARTICLE 3 <br />FUNDING FROM THE CITY <br />3.1 The City shall make payments from the Funds for the Eligible Expenses subject to <br />the requirements of this Agreement. <br />3.2 At such time as the Museum receives an invoice for services rendered for any <br />Eligible Expense, it may submit any such invoice to the City for payment. Within 30 days of the <br />receipt of any such invoice, the City will remit payment for Eligible Expenses identified in the <br />invoice to the Museum, to the provider of the services or jointly to both, in the City's discretion. <br />Under no circumstances will the City pay 100 percent of the total costs for any services in <br />advance of such services being performed. The Museum's contracts for architectural or <br />construction services shall, instead, provide that payments for services will be made in phases as <br />the work progresses. <br />3.3 The Funds shall be drawn only from the account specifically designated by the <br />City for the purposes of this Agreement and from no other accounts of the City. <br />ARTICLE 4 <br />TERM AND TIME OF PERFORMANCE <br />4.1 The effective date of this agreement shall be the date on which it is approved by <br />
