The Lessor understands that such a primary offering of municipal securities is exempt <br />frolll the provisions of SEe Rule 15c2-12 (The "Rule") by reason of the provisions of paragraph <br />(a) thereof which provides an exemption for primary offerings of municipal securities with an <br />aggregate principal amount of less than $1,000,000. <br /> <br />4.
