Interlocal Agreement <br />City of San Marcos and Texas State University-San Marcos <br />Reimbursement for Removing and Installing Traffic Signals <br />The City of San Marcos ("City") and Texas State University-San Marcos ("Texas State"), <br />enter into this Interlocal Agreement under the authority of the Interlocal Cooperation Act, Chapter <br />791 of the Texas Government Code, as amended. <br />Section 1. Purpose of Agreement <br />The purpose of this Agreement is to allow for Texas State to receive reimbursement of <br />expenditures from the City for Texas State's costs to remove the traffic signal that currently exists <br />at the intersection of Tomas Rivera Drive and Sessom Drive and install a traffic signal at the <br />intersection of Comanche Street and Sessom Drive pursuant to the Interlocal Agreement <br />between the City and Texas State for Alterations to Sessom Drive, Tomas Rivera Drive, Student <br />Center Drive, and Comanche Street dated November 17, 2006. <br />Section 2. Scope of Services <br />a) Texas State agrees to remove the traffic signal currently located at the <br />intersection of Tomas Rivera Drive and Sessom Drive and install a traffic signal at the intersection <br />of Comanche Street and Sessom Drive. The signal will be installed in a manner such that the <br />signal is compatible with the City's traffic signalization system. <br />b) The City agrees to pay to Texas State the full cost of the expenditures associated <br />with the removal and installation of the traffic signals. The cost to remove and install the traffic <br />signals is $169,155. This cost of work includes construction at Comanche Street ($128,906), <br />general conditions ($8,500), subcontractor default protection program ($1,869), warranty <br />management ($379), construction management fee ($6,071), architect/engineer fee ($18,150), <br />and project management fee ($5,280). <br />C) Texas State will convey the installed signal at the intersection of Comanche <br />Street and Sessom Drive to the City by Bill of Sale when the installation is complete and <br />reimbursement has been received from the City. <br />d) The City grants a license and permission for Texas State and its agents, <br />engineers, contractors and employees to enter the property of the City as needed to accomplish <br />the purposes of this Agreement. <br />Section 3. Term <br />The term of this Agreement will commence on September 19, 2008, and will continue <br />until the removal and installation of the traffic signals are completed, accepted and reimbursed by <br />the City, unless this Agreement is terminated at an earlier time by either party in accordance with <br />Section 4(f). <br />Section 4. Miscellaneous Provisions <br />a) Interlocal Cooperation: The City and Texas State agree to cooperate with each <br />other in good faith at all times during the term of this Agreement in order to achieve the purpose <br />of this Agreement. Each party to this Agreement acknowledges and represents that this <br />Agreement has been executed by its duly authorized representative. <br />b) Entire Agreement: This Agreement contains the entire agreement between the <br />parties and supersedes all prior understandings and agreements between the parties regarding <br />such matters. This Agreement may not be modified or amended except by written agreement
