Interlocal Agreement City of San Marcos and Texas State University-San Marcos Reimbursement for Removing and Installing Traffic Signals The City of San Marcos ("City") and Texas State University-San Marcos ("Texas State"), enter into this Interlocal Agreement under the authority of the Interlocal Cooperation Act, Chapter 791 of the Texas Government Code, as amended. Section 1. Purpose of Agreement The purpose of this Agreement is to allow for Texas State to receive reimbursement of expenditures from the City for Texas State's costs to remove the traffic signal that currently exists at the intersection of Tomas Rivera Drive and Sessom Drive and install a traffic signal at the intersection of Comanche Street and Sessom Drive pursuant to the Interlocal Agreement between the City and Texas State for Alterations to Sessom Drive, Tomas Rivera Drive, Student Center Drive, and Comanche Street dated November 17, 2006. Section 2. Scope of Services a) Texas State agrees to remove the traffic signal currently located at the intersection of Tomas Rivera Drive and Sessom Drive and install a traffic signal at the intersection of Comanche Street and Sessom Drive. The signal will be installed in a manner such that the signal is compatible with the City's traffic signalization system. b) The City agrees to pay to Texas State the full cost of the expenditures associated with the removal and installation of the traffic signals. The cost to remove and install the traffic signals is $169,155. This cost of work includes construction at Comanche Street ($128,906), general conditions ($8,500), subcontractor default protection program ($1,869), warranty management ($379), construction management fee ($6,071), architect/engineer fee ($18,150), and project management fee ($5,280). C) Texas State will convey the installed signal at the intersection of Comanche Street and Sessom Drive to the City by Bill of Sale when the installation is complete and reimbursement has been received from the City. d) The City grants a license and permission for Texas State and its agents, engineers, contractors and employees to enter the property of the City as needed to accomplish the purposes of this Agreement. Section 3. Term The term of this Agreement will commence on September 19, 2008, and will continue until the removal and installation of the traffic signals are completed, accepted and reimbursed by the City, unless this Agreement is terminated at an earlier time by either party in accordance with Section 4(f). Section 4. Miscellaneous Provisions a) Interlocal Cooperation: The City and Texas State agree to cooperate with each other in good faith at all times during the term of this Agreement in order to achieve the purpose of this Agreement. Each party to this Agreement acknowledges and represents that this Agreement has been executed by its duly authorized representative. b) Entire Agreement: This Agreement contains the entire agreement between the parties and supersedes all prior understandings and agreements between the parties regarding such matters.
