Debt Instruments previously issued by GBRA to fund the City's portion of the Raw Water Delivery System. SECTION 3. APPROVAL OF CONTINUING DISCLOSURE AGREEMENT The Continuing Disclosure Agreement between the City and GBRA, in substantially the form attached hereto as Exhibit B , is hereby approved, and the Mayor, the Mayor Pro Tem, and the Acting City Manager of the City each is hereby authorized to approve all changes thereto and execute and deliver, and the City Clerk of the City is authorized and directed to attest, the Continuing Disclosure Agreement in final form. SECTION 4. AUTHORITY FOR OFFICERS TO EXECUTE ALL OTHER DOCUMENTS The Mayor, Mayor Pro -Tem, Acting City Manager and City Clerk shall be and they are hereby expressly authorized, empowered, and directed from time to time and at any time to do and perform all such acts and things and to execute, acknowledge, and deliver in the name and under the corporate seal and on behalf of the City all such instruments, whether or not herein mentioned, as may be necessary or desirable in order to carry out the terms and provisions of this Resolution, the Amendment, the Continuing Disclosure Agreement, and the issuance of the Series 2010 Refunding Bonds. SECTION 5. INCORPORATION OF RECITALS The recitals set forth in the preamble hereof are incorporated herein and shall have the same force and effect as if set forth in this Section. SECTION 6. EFFECTIVE DATE This Resolution shall become effective immediately upon its adoption. [The remainder of this page intentionally left blank.]
