LETTER OF AGREEMENT Dear Mr. Omelas: This letter shall serve as an agreement between Raba-Kistner-Brytest Consultants, Inc. ("Consultant"), 8200 Cameron Rd., Suite C-154 and the City of San Marcos ("City"), 630 East Hopkins, San Marcos, Texas 78666 for the provision of construction materials testing and geotechnical engineering in connection with various City capital improvement projects. The Consultant will perform its services as described in the Scope of Work attached as Attachment A and in any subsequent Work Authorizations (Attachment B). Consultant agrees to perform all of its services in accordance with the attached City of San Marcos Terms and Conditions for Professional Service Agreements (Attachment Q. In the event of any conflict between the provisions of Attachment A and the provisions of Attachment C, the provisions of Attachment C will control. Each material change (deletion or addition) in the services to be provided by Consultant must be authorized by the City on the Authorization of Change in Services form attached to this Agreement as Attachment D. The City agrees to pay Consultant a not to exceed amount of $75,000.00 for the satisfactory performance of its services in accordance with the provisions of Attachment A. Reimbursable expenses, including such things as expenses for reproduction of documents, auto travel mileage, lodging, delivery charges, long distance communications and freight are included in the Consultant's basic services compensation. Payment will be made to the Consultant monthly following the City's receipt of the Consultant's itemized invoices and appropriate payment requisitions. The amounts of these invoices will be based upon the extent of work actually completed by the Consultant in accordance with Attachment A, plus reimbursable expenses at cost, less any disputed amounts, pending resolution thereof. Compensation for the Consultant's Additional Services will be computed based upon the Consultant's hourly rates and task specific fees as included in Attachment A. Please indicate your acceptance of this Agreement by counter-signing both agreements and retain one executed copy for your files and return one fully executed original to Shelley Goodwin, Deputy City Clerk at the address above.
