Contract Services to be provided by the Authority under the Service Contract except <br />where otherwise noted herein. Except as provided in Section 10.1 above, or further <br />agreement among the Parties, such compensation shall not be adjusted to account for <br />increases or decreases in instantaneous flow or loadings of raw water treated by the <br />Facilities or by variations in the amount of Raw Water treated from each Raw Water <br />source. The Base Fee includes compensation for, but is not limited to, labor, repairs, <br />replacements, maintenance, tools, materials, equipment, laboratory services, and spare <br />parts relating to the operation and maintenance and repair and replacement of the <br />Facilities (but not including electricity, chemicals, insurance, letter of credit fee or <br />maintenance of the Well Supply Equipment, the Well Supply SCADA, or the <br />SCADA system the City uses to monitor and control the System) and costs related to <br />the imposition of any sales tax or business tax levied against the Authority in connection <br />with the Authority's performance of the Contract Services. The Base Fee shall also <br />include any increase or decrease in net cost resulting from operation, maintenance, repair <br />and replacement costs related to a Capital Modification as more fully described in Article <br />IX. <br />(B) Annual Adjustment of Base Fee. The Base Fee for the first Contract Year <br />shall be $795,607. The Base Fee for each subsequent Contract Year shall be determined <br />by multiplying (1) the Base Fee for the previous Contract Year, times (2) the Service Fee <br />Adjustment Factor, as specified in Section 10.6 (A). <br />(C) Annual Credit Related to TCEQ Public Health Service Fee. The initial <br />Base fee negotiated by the parties initially included $7,500 annually to be allocated <br />toward the TCEQ Public Health Service Fee. The parties, however, have agreed that, <br />starting with the 2009 -2010 fiscal year, such fee shall be the responsibility of the City as <br />provided in sections 5.2 and 6.12 and shall be considered a pass - through cost under <br />section 10.4. Thus, in fiscal year 2009 -2010, $7,500 shall be deducted from the then <br />current Base Fee to reflect the shift of such fee from the Base Fee to the Pass - Through <br />Cost Component. <br />5. Section 10.4, Pass - Through Cost Component, is hereby amended to read as follows: <br />SECTION 10.4. PASS - THROUGH COST COMPONENT. The Authority shall <br />pay all electric bills incurred in the operation of the Facilities. The City shall reimburse <br />the Authority each month for all such bills, subject to the "Guaranteed Maximum <br />Electricity Utilization" through the Pass - through Component of the Service Fee. The <br />Guaranteed Maximum Electricity Utilization will be 1625 kWh for each million gallons <br />of Raw Water treated at the Plant and 2300 kWh for each million gallons of water <br />supplied by the Wells. The Guaranteed Maximum Electricity Utilization shall not include <br />electricity used at the Booster Stations. The Authority will not receive reimbursement for <br />its electricity costs associated with the operation of the Facilities above the Guaranteed <br />Maximum Electricity Utilization. The Authority shall pay all chemical bills incurred in <br />the operation of the Facilities. The City shall reimburse the Authority each month for all <br />such costs, subject to the "Guaranteed Maximum Chemical Utilization" through the Pass - <br />through Component of the Service Fee.
