Chapter 2260 of the Texas Government Code to attempt to resolve any claim that the City makes <br />for breach of this agreement. Section 6.05. Assignment. Except as provided in Section, this <br />Agreement may not be assigned by either party without the written consent of the other. <br />Section 6.06. Severability. If any provision of this Agreement is held to be illegal, <br />invalid or unenforceable under present or future laws effective while this Agreement is in effect, <br />such provision shall be automatically deleted from this Agreement and the legality, validity and <br />enforceability of the remaining provisions of this Agreement shall not be affected thereby, and in <br />lieu of such deleted provision, there shall be added as part of this Agreement a provision that is <br />legal, valid and enforceable and that is as similar as possible in terms and substance as possible <br />to the deleted provision. <br />Section 6.07. Sole Agreement. This Agreement constitutes the sole and only <br />Agreement of the Parties hereto respecting the subject matter covered by this Agreement, and <br />supersedes any prior understandings or written or oral agreements between the parties. <br />Section 6.08. Amendments. No amendment, modification or alteration of the terms <br />hereof shall be binding unless the same shall be in writing and dated subsequent to the date <br />hereof and duly executed by the parties hereto. <br />Section 6.09. Compliance with Laws. Texas State shall comply with all employment <br />laws applicable to the hiring or contracting of persons into Qualified Faculty positions. <br />Section 6.10. No Waiver of Immunity. Nothing in this Agreement, and no action of the <br />Parties under this Agreement, will constitute a waiver of any immunity by the Parties to suit or to <br />liability. <br />Section 6.11. Appropriation of Funds. The payment obligations of the City under this <br />Agreement are subject to and contingent upon the annual appropriation of lawfully available <br />Page 7 of 8
