future funding from the Department, including EDA, and may be considered grounds for any <br />or all of the following actions: (a) the establishment of an account receivable; (b) withholding <br />payments under any EDA or DOC Award(s) to the Recipient; (c) the imposition of additional <br />special award conditions; (d) the suspension of any active DOC Awards; or (e) the termination <br />of any active DOC Awards. <br />The Recipient hereby agrees that the Government may at its option withhold disbursement of <br />any Award funds if the Government learns or has knowledge that the Recipient has failed to <br />comply in any manner with any Term or Condition of the Award. See 13 C.F.R. § 302.18. <br />The Government may withhold funds until the violation or violations have been corrected to <br />the Government's satisfaction. The Recipient further agrees to reimburse the Government for <br />any ineligible costs paid from Award funds, or if the Recipient fails to reimburse the <br />Government, the Government shall have the right to offset the amount of such ineligible costs <br />from any undisbursed award funds held by the Government. The Recipient agrees to repay the <br />Government for all ineligible costs incurred in connection with the Project and paid from the <br />Award including but not limited to those costs determined to be ineligible if the Government <br />learns of any Award violations after all Award funds have been disbursed. <br />See 15 C.F.R. §§ 14.72 -14.73 or 24.51 - 24.52, as applicable. <br />8. Use by Beneficiary. In the event a beneficiary of the Project fails to comply in any manner <br />with certifications, assurances, or agreements that such beneficiary has entered into in <br />accordance with EDA's requirements, the Recipient will reimburse the Government the Award <br />amount or an amount to be determined by the Government pursuant to 13 C.F.R. §§ 314.4 and <br />314.5. Where the Government determines that the failure of a beneficiary to comply with EDA <br />requirements affects a portion of the property benefited by the Award, the Recipient will <br />reimburse the Government proportionately. <br />9. Prohibition Against Assignment by the Recipient. Except as provided in a special award <br />condition, the Recipient shall not transfer, pledge, mortgage, or otherwise assign the Award, or <br />any interest therein, or any claim arising thereunder, to any party or parties, banks, trust <br />companies, or other financing or financial institutions. <br />10. Disclaimer Provisions; Hold Harmless Requirement. <br />a. The United States expressly disclaims any and all responsibility or liability to the Recipient <br />or third persons for the actions of the Recipient or third persons resulting in death, bodily <br />injury, property damages, or any other losses resulting in any way from the performance of <br />this Award or any subaward or subcontract under this Award. <br />b. The acceptance of this Award by the Recipient does not in any way constitute an agency <br />relationship between the United States and the Recipient. <br />c. To the extent permitted by law, the Recipient agrees to indemnify and hold the Government <br />harmless from and against all liabilities that the Government may incur as a result of <br />providing an Award to assist, directly or indirectly, in the preparation of the Project site or <br />construction, renovation, or repair of any facility on the Project site, to the extent that such <br />liabilities are incurred because of toxic or hazardous contamination or groundwater, surface <br />water, soil, or other conditions caused by operations of the Recipient or any of its <br />predecessors (other than the Government or its agents) on the property. <br />See 13 C.F.R. § 302.19. <br />I1 <br />
