INDIVIDUAL BACKGROUND SCREENING Notwithstanding the requirements pertaining to Individual Background Screenings set forth in Section F of the Department of Commerce (DOC) Standard Terms and Conditions (March 2008), Individual Background Screenings will be conducted in accordance with the updated guidance contained in Chapter 21 (February 20 10) of the DOC Grants and Cooperative Agreements Interim Manual. RECIPIENT'S DUTY TO REFRAIN FROM EMPLOYING CERTAIN GOVERNMENT EMPLOYEES For the two -year period beginning on the date the Government executes this award, the Recipient(s) agrees that it will not employ, offer any office or employment to, or retain for professional services any person who, on the date the Government executes this award or within the one -year period ending on that date: (i) Served as an officer, attorney, agent, or employee of the Government; and (ii) Occupied a position or engaged in activities that the Assistant Secretary determines involved discretion with respect to the award of Investment Assistance under PWEDA. The two -year period and associated restrictions referenced above also shall apply beginning on the date the Government executes any cost amendment to this award that provides additional funds to the Recipient(s). 15. ARCHEOLOGICAL SURVEY Prior to advertisement for bids the recipient shall provide evidence satisfactory to the government that a100% pedestrian archeological survey has been conducted and has been reviewed and approved by the State Historic Preservation Officer. 16. LEASES This Award agreement contemplates leases, by the Recipient, of space in the Texas State University — San Marcos Commercialization Research Center. Prior to initial disbursement, the Recipient shall submit a copy of any lease of the EDA project facilities, which shall contain terms satisfactory to EDA, including: provisions for rent of adequate consideration per EDA Regulations; appropriate rent escalation for a long -term lease; compliance with EDA rules and regulations and federal law; default upon noncompliance with these and other material terms of the lease; and, requiring EDA approval of any sublease, assignment, or transfer. The Recipient shall provide documentation satisfactory to EDA that rent charged for the lease of project facilities is at least adequate consideration per EDA Regulations. 17. CONFLICTS OF INTEREST The Recipient agrees that it shall avoid any conflicts of interest, as described in 13 CFR § 302.17 and 15 CFR § 14.42 or §24.36(b)(3), as applicable, and shall ensure that it adopts conflicts of interest provisions specific to this Project. Such provisions shall include related party transactions, related entity transactions, and any other matter or transaction that would
