ARTICLE V: Indemnification <br />5.1 To the extent permitted by applicable law and without waiving any immunity or <br />limitations on liability granted by applicable law, each party hereto (the "Indemnifying Party ") <br />agrees to indemnify, defend and hold harmless the other party (the "Indemnified Party ") against <br />and from any and all losses, expenses, damages, claims, demands, judgments and liabilities, <br />including reasonable attorneys' fees and costs of litigation, incurred by the Indemnified Party as a <br />result of the activities of the Indemnifying Party on or within the Access Area. <br />ARTICLE VI: Miscellaneous. <br />6.1. Notices. All notices, demands, comments, consents, authorizations, and approvals <br />required, permitted or mentioned in this Lease shall be in writing and if being sent shall be sent <br />by certified mail, return receipt requested, addressed, postage prepaid, or to be delivered by a <br />nationally recognized overnight delivery service, for example Federal Express, to the addresses <br />set out below, or other addresses as may hereafter be designated by the Parties by notice to the <br />other Party. <br />To City: City Manager <br />San Marcos City Hall <br />630 E. Each Party agrees to comply with all laws, regulations, <br />rules, and ordinances applicable to this Agreement and /or applicable to the parties performing <br />the terms and conditions of this Agreement. <br />6.3 Severability. If any Section or provision of this Agreement is held to be invalid or <br />void, the other Sections and provisions of this Agreement shall remain in full force and effect to <br />the greatest extent as is possible, and all remaining Sections or provisions of this Agreement <br />shall be construed so that they are as consistent with the parties' intents as possible. <br />6.4 Counterparts. This Agreement may be executed in several counterparts, all of <br />which taken together shall constitute one single agreement between the parties. <br />6.5 Laws and Venue. This Agreement shall be governed by the laws of the State of <br />Texas. Any lawsuit, claim, or action, whether in law or in equity, arising from this Agreement <br />will be brought in Hays County, Texas. <br />6.6 Disputes. The parties will use the procedures in Chapter 2260 of the Texas <br />Government Code to resolve any disputes arising under this Agreement. <br />
