<br />San Marcos PO MOU <br />Page 3 <br /> <br />6.2 Notices. <br />All notices pursuant to this agreement shall be in writing and shall be delivered to the liaisons by U.S. certified mail, <br />postage paid, and properly addressed. <br /> <br />Section 7. Duration, Suspension and I or Termination of Agreement <br /> <br />7.1 Duration. <br />The term of the agreement is specified in Schedule B. <br /> <br />7.2 Suspension or Termination of Agreement. <br />DPS has the power and right to terminate this agreement immediately, without the right of appeal if the agreement with <br />BJS is (a) terminated or (b) amended by BJS so that this agreement must be terminated, or (c) in the event of any <br />reduction by BJS of the funds authorized for expenditure by the DPS or a deobligation of the DPS' cooperative agreement <br />award by BJS. Such termination is effective on the date that a written termination notice is received by Recipient. <br /> <br />Either party may, without cause, terminate this agreement at any time by giving ten (10) days' written notice to the other <br />party. Recipient shall be entitled to all sums due and owing up to the day written notice is received by the non- <br />terminating party, provided that such services performed are in accordance with the provisions of this agreement. <br />Recipient shall be required to complete its services within the ten (10) day period. <br /> <br />Section 8. Cost Reimbursement <br /> <br />8.1 Contract Amount. <br />The total contract award amount is specified in Schedule C. A budget for the use of funds is specified in Schedule D. <br />Any budget deviations shall be approved by DPS before initiation of the desired change. The parties agree that the <br />amount provided is fair compensation for the services or functions provided. <br /> <br />8.2 Procedure for Reimbursement. <br />Payments will be made from current revenues available to the paying party. Written invoices shall include the following <br />as applicable: (a) delivery date; (b) description of services received; (c) quantity and unit price(s); (d) appropriate payee <br />identification information. <br /> <br />8.3 Documentation. <br />Recipient will maintain logs and personal records documenting personnel time charged and services purchased under this <br />agreement. Any and all documentation will be provided to DPS upon request. <br /> <br />Section 9. Liability for Harm <br /> <br />To the extent authorized by law, Recipient agrees to indemnify and hold harmless DPS, its Director, and its employees <br />from and against any and all claims, demands, actions and suits, including but not limited to any liability for damages by <br />reason of or arising out of any false arrest or imprisonment or any cause of action whatsoever, arising out of or involving <br />any negligence on the part of Recipient or its employees in the implementation of this agreement. <br />
