MATCHING GRANT AGREEMENT <br />This agreement (the "Agreement ") is made and entered into to be effective as of March 1, <br />2011 (the "Effective Date ") between the City of San Marcos (the "City "), 630 East Hopkins, San <br />Marcos, Texas, and the Hays County Women's Center, Inc. d/b /a Hays - Caldwell Women's <br />Center (the "HCWC "), P.O. Box 234, San Marcos, Texas 78667. The City and the HCWC may <br />be referred to as a "Party" or, collectively, as the "Parties ". <br />RECITALS <br />WHEREAS, the HCWC is a Texas nonprofit corporation exempt from certain taxes as a <br />charitable organization under Section 501(c)(3) of the United States Internal Revenue Code that <br />provides services and assistance to victims of family violence and/or sexual assault and <br />education for the community concerning family violence and sexual assault; and <br />WHEREAS, pursuant to a lease agreement with the City dated March 14, 1983 (the <br />Lease ") the HCWC administers its services and programs from facilities on property leased from <br />the City located at 1410 and 1414 IH -35 North, San Marcos, Texas as (the property, as more <br />fully described in the Lease, is the "Leased Premises "); and <br />WHEREAS, to enhance its services and programs the HCWC seeks to remodel and <br />expand the former Family Violence Shelter at 1410 IH -35 North to house Roxanne's House and <br />the Center for Community Partnerships, (the "Project "); and <br />WHEREAS, the HCWC will incur certain design and construction expenses related to <br />the Project and has requested that the City assist by providing a matching grant for such <br />expenses; and <br />WHEREAS, the City believes that the services and programs provided by the HCWC <br />alleviate burdens on local government and address many of the health, safety and welfare <br />concerns of the community and that the Project will enable the HCWC to more effectively <br />provide these services and programs; and <br />WHEREAS, for the reasons stated above, the City finds that the Project serves a public <br />purpose and is in the best interests of the residents of the City of San Marcos and wants to <br />provide funding for the Project as set forth below. <br />NOW, THEREFORE, in consideration of the foregoing and the mutual promises and <br />obligations of the Parties in this Agreement, the City and HCWC agree as follows: <br />1 <br />
