<br />105. <br /> <br />RESOLUTION NO. 2005----92R <br /> <br />A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF <br />SAN MARCOS, TEXAS ACCEPTING A DONATION OF A <br />TRACT OF PROPERTY BY GILMORE-AUSTEX <br />PROPERTIES, LTD. FOR A CONFERENCE CENTER SITE <br />RELATED TO THE HOTEL AND CONFERENCE CENTER <br />PROJECT; AND DECLARING AN EFFECTIVE DATE. <br /> <br />RECITALS: <br /> <br />1. John Q. Hammons, as Trustee of the Revocable Trust ofJohn Q. Hammons dated December <br />28, 1989, as amended and restated ("JQH") and the City are pursuing a joint project (the "Project") <br />whereby (i) JQH would construct and operate a full service upscale hotel (the "Hotel") of at least ten <br />(10) stories in height with a minimum of two hundred fifty (250) guest rooms and (ii) the City would <br />construct, and lease to JQH, a first class conference center facility and related improvements (the <br />"Conference Center") adjacent to the Hotel, which Conference Center would contain one large ballroom <br />sufficient to lawfully accommodate one thousand (1,000) people for a banquet style event. <br /> <br />2. JQH and the City have identified a fifteen (15) acre tract ofland located in San Marcos, Hays <br />County, Texas (the "Project Site") as the preferred site for the Project. <br /> <br />3. While JQH and the City have not reached a definitive agreement concerning the parties <br />respective obligations relating to the Project, and neither currently has any obligation one unto the other <br />with respect thereto, JQH and the City believe that, due to market conditions and competitive forces, it <br />is imperative that the Project Site be acquired immediately. <br /> <br />4. Gilmore-Austex Properties, Ltd. ("Gilmore") has offered to (i) sell a ten (10) acre portion of <br />the Project Site (the "Hotel Site") to JQH for $2,000,000.00 and (ii) donate a five (5) acre portion of the <br />Project Site (the "Conference Center Site") to the City. <br /> <br />5. The City Council wishes to accept the donation by Gilmore ofthe Conference Center Site to <br />the City. <br /> <br />BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SAN MARCOS, <br />TEXAS: <br /> <br />PART 1. The City Council hereby accepts the donation by GiImore-Austex Properties, Ltd. to <br />the City of the Conference Center Site in connection with the Hotel and Conference Center Project. <br /> <br />PART 2. The City Manager, Dan O'Leary, and the City's attorneys, Mark Taylor and Pete <br />Broderick, are authorized to negotiate the terms of the documents under which the donation will be <br />made, and the City Manager, Dan O'Leary, is authorized to execute such documents on behalf of the <br />City. <br /> <br />PART 3. This resolution is effective immediately upon adoption. <br /> <br />ADOPTED on July 14, 2005. <br />
