<br />The City of San Marcos Facilities Service Contract <br /> <br />OMI, Inc. <br />9193 S. Jamaica St., Suite 400 <br />Englewood, CO 80112 <br /> <br />Attn: Contracts Department <br /> <br />(C) City Notice Address. Notices required to be given to the City shall be <br /> <br />addressed as follows: <br /> <br />City Manager <br />The City of San Marcos <br />630 East Hopkins <br />San Marcos, Texas 78666 <br /> <br />SECTION 15.18. NOTICE OF LITIGATION. In the event the Company or City <br />receives notice of or undertakes the defense or the prosecution of any Legal Proceedings, <br />claims, or investigations in connection with the Facilities, the party receiving such notice or <br />undertaking such prosecution shall give the other party timely notice of such proceedings and <br />shall inform the other party in advance of all hearings regarding such proceedings. <br />SECTION 15.19. FURTHER ASSURANCES. The City and Company each agree <br />to execute and deliver such further instruments and to perform any acts that may be necessary <br />or reasonably requested in order to give full effect to this Service Contract. The City and the <br />Company, in order to carry out this Service Contract, each shall use all commercially <br />reasonable efforts to provide such information, execute such further instruments and <br />documents and take such actions as may be reasonably requested by the other and not <br />inconsistent with the provisions of this Service Contract and not involving the assumption of <br />obligations or liabilities different from or in excess of or in addition to those expressly provided <br />for herein. <br /> <br />[SIGNATURE PAGE FOLLOWS] <br /> <br />107 <br />
