<br />The City of San Marcos Facilities Service Contract <br /> <br />ARTICLE IV <br />TRANSITION PERIOD <br /> <br />SECTION 4.1. COMPANY TRANSITION PERIOD RESPONSIBILITIES. <br />(A) Obligation to Proceed. The Company shall satisfy the following Company responsibilities <br />as soon as practicable after the Contract Date, each of which shall be a condition precedent to <br />the occurrence of the Commencement Date. <br />(1) Transition. The Company shall carry out and complete the orderly <br />transfer of management responsibility for the Facilities from the City to the Company in <br />accordance with Article VI as it specifically pertains to transition obligations to be <br />performed by the Company prior to the Commencement Date, and shall provide all <br />management, technical, administrative, labor relations and other personnel necessary <br />in connection therewith. The Company shall demonstrate and certify such compliance <br />to the satisfaction of the City. <br />(2) City Employees. The Company shall carry out and complete its <br />obligations set forth in Article V, with respect to City employees, and shall demonstrate <br />and certify such compliance to the satisfaction of the City. <br />(3) Governmental Approvals. The Company shall submit complete <br />applications and take all other steps which are necessary under Applicable Law to <br />obtain all Govemmental Approvals required to be obtained by the Company before the <br />Commencement Date for the performance of the Contract Services, or certify to the City <br />that no such Govemmental Approvals are required. <br />(4) Operations Performance Bond. The Company shall obtain and deliver to <br />the City the Operations Performance Bond in accordance with Section 14.1. The <br />Operations Performance Bond shall be substantially in the form set forth in the <br />Transaction Form. <br />(5) Contact Information. The Company shall submit to the City the contact <br />information specified in subsection 15.3(A). <br />(6) Required Insurance. The Company shall submit to the City full, certified <br />policies of insurance naming the City as an "additional insured" for all Required <br />Insurance specified in Appendix 9. <br />(7) Management Contract Approval Assistance. The Company shall actively <br />advise the City with respect to, and shall cooperate with and assist the City in <br />obtaining, any required Service Contract Approvals.v(8) Financial Condition.
