<br />The City of San Marcos Facilities Service Contract <br /> <br />ARTICLE XI <br /> <br />SERVICE FEE AND OTHER PAYMENTS <br /> <br />SECTION 11.1. SERVICE FEE GENERALLY. <br /> <br />From and after the <br /> <br />Commencement Date, the City shall pay the Service Fee to the Company as compensation for <br />the Company's performing the Contract Services under this Service Contract as set forth in this <br />Article XI. <br /> <br />SECTION 11.2. SERVICE FEE FORMULA. The annual Service Fee shall be <br /> <br />calculated in accordance with the following formula: <br /> <br />ASF = BF + PC + EIC <br /> <br />where, <br />ASF Annual Service Fee <br />BF Base Fee <br />PC Pass-through Cost Component <br />EIC Extraordinary Items Component <br /> <br />Each component of the Service Fee shall be determined in accordance with this Article. <br /> <br />SECTION 11.3. BASE FEE. (A) Base Fee Formula. The Base Fee shall be <br /> <br />calculated in accordance with the following formulas: <br /> <br />BF <br />FC <br />VC <br />where, <br />FC <br />VC <br />FE <br />RE <br />LAE <br />FAE <br /> <br />FC + VC <br />FE + RE <br />LAE + FAE <br /> <br />Fixed Component <br />Variable Component <br />Facility Element <br />Residuals Element <br />Loadings Adjustment Element <br />Flow Adjustment Element <br /> <br />(B) Basis of Fixed Component. The Base Fee consists of the Fixed <br />Component and the Variable Component. For the period beginning on the Commencement <br />Date and continuing until completion and acceptance by the City of the City Capital Project, <br />the Fixed Component shall be annually or mli;!.I~'.,21:5; per month and the <br />Variable Component shall be calculated in accordance with the provisions of Section 11.4. <br />Following completion of the City Capital Project and continuing until August 31, 2007, the <br />Fixed Component shall be !fi~V'-t.1I1 annually or llIIIim~~'~ per month and the Variable <br />Component shall be calculated in accordance with the provisions of Section 11.4. The Base fee <br />shall be adjusted on an annual basis thereafter pursuant to the Service Fee Adjustment Factor. <br />The Base Fee shall be compensation for all Contract Services to be provided by the Company <br />under the Service Contract except where otherwise noted herein.
