<br />The City of San Marcos Facilities Service Contract <br /> <br />equipment under subdivision (B)(4) of this section, and (6) plans, drawings and technical data, <br />to the extent the Company or Subcontractors are required to deliver them to the City under <br />any provision of this Service Contract. <br />(C) Title to items included in Base Fee. Title to all property, the cost of which is <br />included in the Base Fee, shall vest in the City. Vestiture shall be immediately upon the <br />Commencement Date, for property acquired or produced before that date. Otherwise, vestiture <br />shall occur when the property is or should have been allocable or properly chargeable to the <br />City by the Company under the terms of this Service Contract, or if not covered by the terms of <br />this Service Contract, under sound and generally accepted accounting principles and practices. <br />(D) Title to items not included in Base Fee. <br />(1) Title to all property purchased by the Contractor for which the Contractor is <br />entitled to be reimbursed as an element of the Pass-Through Cost Component or <br />Extraordinary Items Component under this Service Contract shall pass to and vest in <br />the City upon the delivery of the property to the Facilities Site. <br />(2) Title to all other property for which the Contractor IS entitled to be <br />reimbursed under this Service Contract shall pass to and vest in the City upon (a) <br />issuance of the property by the Company for use in performing the Contract Services, <br />(b) commencement of processing of the property or use in performing the Contract <br />Services, or (c) reimbursement of the cost of the property by the City, whichever occurs <br />first. <br />(E) Title not affected. Title to property shall not be affected by its incorporation into <br />or attachment to any property not owned by the City. <br /> <br />83 <br />
